Source text - Spanish ACUERDO DE PUBLICIDAD INMOBILIARIA
Quien suscribe, la empresa ******************** (***), representada por **************, **********, mayor de edad, casada, con los identificadas con los números de cedula ******** y en lo adelante quien se denominará LA PRIMERA PARTE; y de la otra parte la empresa ****, *******. quien en lo adelante se denominará SEGUNDA PARTE, y representados por el señor *****., ****, mayor de edad, ----------, identificado con el número de cedula ------------------------------,
SE HA CONVENIDO PACTADO Y ACEPTADO LO SIGUIENTE:
PRIMERO: LA EMPRESA ******, es una empresa dedicada al área publicitaria a nivel inmobiliario, utilizando diferentes medios como los son periódicos, email, escritos, libros, reportes, conferencias y otros eventos de margen publicitario, a partir de aquí en lo adelante se llamarán productos ****.
SEGUNDO: LA PRIMERA PARTE solo ofrece sus productos ****, a aquellas personas que estén suscritos a su consorcio, estas personas se conocen dentro del consorcio con el nombre de *****, por lo que las partes dentro del consorcio **** TIENE DERECHOS EXCLUSIVOS DE NEGOCIACION CON LA PRIMERA PARTE, POR LO TANTO, LA SEGUNDA PARTE NO PUEDE CONTACTAR CLIENTES SUBSCRITOS CON LA PRIMERA PARTE Y DE SER ASI LA PRIMERA PARTE RECIBIRA UNA COMPENSACION POR DAÑOS Y PERJUICIOS CAUSADOS.
TERCERO: Los productos de publicidad de la PRIMERA PARTE, no pueden ser utilizados por la SEGUNDA PARTE, EN NINGUN MEDIO PUBLICITARIO O DE SERVICIO, YA QUE ESOS PRODUCTOS SON EXCLUSIVOS DE LA PRIMERA PARTE.
CUARTO: la PRIMERA PARTE podrá consultar, negocias y gestionar con la SEGUNDA PARTE, la propiedad inmobiliaria y permitir que el agente inmobiliario de la empresa de actuando en nombre de la PRIMERA PARTE puedan solicitar cualquier información a la SEGUNDA PARTE, referente a los inmuebles ofertados por la PRIMERA PARTE.
QUINTO: la PRIMERA PARTE puede gestionar y negociar con otras empresas inmobiliarias, no guarda exclusividad con LA SEGUNDA PARTE.
SEXTO: si un cliente de LA PRIMERA PARTE compra propiedad de la SEGUNDA PARTE, la SEGUNDA PARTE deberá pagar una comisión de un cinco por ciento (5%) del valor de la venta del inmueble, este cinco por ciento (5%), debe ser pagado dentro de los treinta (30) días de realización de la venta. De no ser pagado dentro de los treinta días acordados la SEGUNDA PARTE pagará una penalidad de un uno punto cinco por ciento (1.5%) del monto adeudado por mes de incumplimiento.
SEPTIMO: si la PRIMERA PARTE vende un inmueble de la SEGUNDA PARTE este deberá depositar, transferir o pagar en efectivo la comisión establecida dentro de este acuerdo a la cuenta de la PRIMERA PARTE.
OCTAVO: la SEGUNDA PARTE debe informar a la PRIMERA PARTE si los inmuebles ofertados varían de su valor original al momento de la captación del inmueble.
NOVENO: A este acuerdo podrá dársele término cuando unas de las partes deseen mediante una de las modalidades de contractual establecido según la ley dominicana.
Hecho y firmado, en la ciudad de Santo Domingo, Capital de la República Dominicana, hoy día Veintiocho (28) del mes de marzo del año Dos Mil Dieciocho (2018), en esta ciudad de Santo Domingo, instrumental libre de tachas y excepciones como lo establece la Ley.

who, from now on, will be referred to as THE FIRST PARTY: and the other party, the company
***** With Tax ID *****, with its registered
office located in ********. Which, from now will be referred to as THE
SECOND PARTY, represented by *****, Dominican citizen of legal age, ----------,
with Dominican ID number ------------------------------,
THE FOLLOWING HAS BEEN ACCEPTED AND AGREED UPON:
FIRST: THE COMPANY *****, is a company that works in Real-
Estate publicity, using diferent means such as newspapers, email, writen material, books, reports,
conferences and other events of publicity nature, which from now on will be referred to as ****
products.
SECOND: THE FIRST PARTY only offers **** products, to people that are subscribed to their
consortium, these people are known within the consortium with the name *****, which
means that THE FIRST PARTY holds exclusive rights of negotiation with the parties within the *****
consortium, therefore THE SECOND PARTY CANNOT CONTACT CLIENTS THAT ARE SUBSCRIBED TO
THE FIRST PARTY, AND IF THAT WERE THE CASE THE FIRST PARTY WILL RECEIVE A
COMPENSATION FOR DAMAGES.
THIRD: Publicity products of THE FIRST PARTY, cannot be used by THE SECOND PARTY, IN ANY SERVICE OR ADVERTISING MEANS, DUE TO THE FACT THAT THESE PRODUCTS ARE EXCLUSIVE PROPERTY OF THE FIRST PARTY.
FOURTH: THE FIRST PARTY will be able to consult, negotiate and manage real-estate property with THE SECOND PARTY, and allow the company’s broker to act on behalf of THE FIRST PARTY, and be
able to request any information to the THE SECOND PARTY, regarding the property put on sale by THE FIRST PARTY.
FIFTH: THE FIRST PARTY can manage and negotiate with other real-estate companies, and no exclusive rights are held by THE SECOND PARTY.
SIXTH: If a client of THE FIRST PARTY purchases property from THE SECOND PARTY, THE SECOND PARTY must pay a five percent (5%) commission fee of the real-estate property value, this five
percent (5%), has got to be paid within thirty days of the fulfillment of the purchase operation. Failure to pay within the thirty days that have been agreed upon and THE SECOND PARTY will pay
a penalty fee of one point five percent (1.5%) of the total amount owed per month of noncompliance.
SEVENTH: if THE FIRST PARTY sells a property of THE SECOND PARTY, this party will have to deposit, transfer or pay in cash the commission that has been aforementioned and agreed upon in
this agreement on account of THE FIRST PARTY.
EIGHTH: THE SECOND PARTY must inform to THE FIRST PARTY if the properties on sale have changed their original value at the time of the property acquisition.
NINTH: This agreement could be terminated when one of the parties decides to do so, using the existing contract termination procedures stated by Dominican laws. Completed and signed, in the city of Santo Domingo, Capital of the Dominican Republic, in this
twenty eighth day of the month of march, of the year two thousand and eighteen, in this city of Santo Domingo, with no challenge or exceptions as stated by law.
