This is the title of a JV agreement section. The section is short and only describes the transfers, liens and collaterals that must not be made.
My proposal is "disposal and payout of shares", but I am unsure about payout as there is no mention of it. Could "cobro" mean something different here?

Without the benefit of further context, I'm assuming this section refers to how the JV will receive and dispose of capital and monies contributed to it (i.e., with no charges or encumbrances levied against the contributions made).
I'm using the word "equity" here to differentiate it from "shares", in the sense that it means the contributions to and stakes in the JV, rather than any formal shares of stock the JV might issue.

In that case, perhaps you could just use "shares" or "values of shares" since the text appears to be referring to receiving and disposing of the value of these shares, not the shares themselves, but I can't quite tell to be honest. I'd really like more context, i.e. the text of the article to which this heading belongs.

Thank you for your valuable input. In another part of the agreement they mention that the equity interests were issued in two series, A and B, numbered 1 to x. At first I was translating participaciones sociales as equity interests, but then I thought to use "equity shares" instead to go with the series. What's your opinion? |
In general there is a lot of talk about rules for the transfer of Participaciones in the text, preferential subscription rights and so on. It all indicates the word "share" would be more appropriate. I am copying the section here: Ninguno de los Socios constituirá o permitirá la constitución de prenda, gravamen o carga alguna, ni concederá opciones o derechos de naturaleza análoga (exceptuando los casos en los que se realice una transmisión de conformidad con las disposiciones de este Contrato). |
So eventually I chose to use "equity participations" (it is SL company) based on "Spain Company Laws and Regulations Handbook" and "Diccionario económico-financiero-actuarial de Villalón/Barbeito". Thank you for your help. |
