Negative Pledge:
The Borrower hereby irrevocably undertakes that so long as any amounts remain outstanding under the Loan or so long as the Lender s obligation to make the Loan hereunder available remains in effect, the Borrower shall not, without prior written consent of the Lender:
17.1 create, extend or increase any mortgage, lien, pledge or permit to subsist any other charge/encumbrance on or over any part of its property or assets , and
17.2 except in the ordinary course of its business activities and for full consideration, sell, transfer, lend or otherwise dispose of any part of its assets.
