11 TERMINATION
11.1 Without prejudice to any rights of termination in the other parts of this Agreement, this Agreement may be terminated in the circumstances set out in this Clause 11.
11.2 If:
11.2.1 either Party:
i. is voluntarily or involuntarily dissolved or declared bankrupt, is insolvent, or commits an act of bankruptcy or compounds with its creditors;
ii. has a receiver appointed over all or any substantial part of its assets or passes title in lieu of foreclosure;
