The hold harmless clause is a statement in a legal contract that absolves one or both parties in a contract of legal liability for any injuries or damage suffered by the party signing the contract. A business may add a hold harmless agreement to a contract when the service being retained involves risks that the business does not want to be held responsible for legally or financially.

First party to "hold harmless" the second party implies the first party taking ALL the flack if some third party starts complaining to the second party.

@Christine Yes. The previous glossary entries for "hold harmless clause" appear to be wrong. Why don't you post that as an answer? Also supported by https://www.juripole.fr/traduction-juridique/Bulletins/mai-j... . I wouldn't cite reverso as a reference, as it's very unreliable.

On the other hand, this should be reclassified as a Legal term, not "Bus/Financial - Economics"!

I think the reason why previous KudoZ answerers have translated this as "garantie d'éviction" is because that translates the undertaking to indemnify that generally precedes "hold harmless" in a contract.

disagree B D Finch : The difference between "exonération" and "dégagement" is that the former implies that the person might be considered responsible, but is exonerated, while the latter means that they cannot be considered in any way responsible, so don't need exonerating.
