“Acquisition Debt” means:
the aggregate amount of debt incurred by any Group Member to finance (and applied in payment of) that portion of the Initial Repayment referred to at clauseclauses 4.3(a)(i) and 4.3(a)(ii) pursuant to this Agreement which remains outstanding on the relevant Triggering Event Date which shall remain a liability of the transferor of the Shares or Business as the case may be after such Transfer or Business Sale.
