I know from a previous question about the term Andienung that it can mean delivery or tender. But I don't understand the concept behind what's going on in this contract. If it's a "tender agreement" who is doing the tendering?

Andienungsrecht der RL
1. XXXX verpflichtet sich hiermit unwiderruflich gegenüber RL, bei Vorliegen einer der in Absatz 2 bis 5 genannten Voraussetzungen deren Geschäftsanteile an der YYYY auf deren schriftliche Aufforderung zu 100% anzukaufen und unverzüglich einen inhaltlich den Bedingungen der gegenständlichen Andienungsvereinbarung entsprechenden Kaufvertrag mit RL abzuschließen (kurz „der Kaufvertrag“).
2. RL ist berechtigt, das Andienungsrecht auszuüben,
a. sobald YYYY berechtigt ist, auch nur einen der Immobilienmietverträge oder der Zusatzvereinbarungen oder der Nachfolgeverträge vorzeitig aufzulösen, oder

Offer Agreement

Hi, Kim. Although I'm not familiar with this type of agreement, I see from the context you provided that the "Andienen"-part is done by RL (the seller). RL offers to XXXX the right to purchase RL's shares in YYYY.

I checked various English terms on the Internet and I found "Offer Agreement" to be a recognized term in various contexts. Plus, this translation should be fairly safe.

There are also "tender offer agreements" or "exchange offer agreements", however, each of these have a specific content (different from yours). And the word "offer" in those headings refer to the buying party, not to the selling party as in your agreement.

So, I would use "Offer Agreement" as a translation for "Andienungsvereinbarung" and "to exercise the right to offer" as "ausüben des Andienungsrechts".

Vorkaufsrecht?

My understanding of "andienen" is also "anbieten"; could this be something like a contract establishing a Vorkaufsrecht?
Just a wild guess; too many X's and Y's and not enough context (I tried to draw a diagram of who may do what...to no avail...)

this reads to me like a put agreement where RL, under certain conditions, can put to "XXXX".

However, the exact term as state gets not a single hit on Google, which is a bit puzzling.

HOwever, Andienung itself can mean exactly that;

In other words RL can "deliver"( put)something to "XXXX" at a fixed price;and this leads me to "conditional sales agreement". See below:

option-to-sell agreement

Please take this as nothing more than an educated guess. I vaguely remember that Andienungsvereinbarungen/-verträge involve the sale and purchase of leased goods at their residual value. In any case, the "Andiener" is basically entitled to a "Vorverkaufsrecht" (in analogy to the standard Vorkaufsrecht on the part of the buyer) and the buyer is under an obligation to accept this offer, should the Andiener decide to exercise their Vorverkaufsrecht. Therefore, Andienungsvereinbarung seems to be the same as a Vorverkaufsvertrag, which is translated as preemption contract by Romain.

Please note, however, that preemption agreements in most cases involve an option on the part of the buyer, whereas the Andienungsvereinbarung involves an obligation of the buyer (the seller has the option).

Given that preemption agreement may not fit a 100%, I think "option-to-sell agreement" would convey your arrangement quite well and is, in fact, used in these kind of situations, see e.g.:

"The consumer also entered into an Option to Sell Agreement, whereby the consumer could resell the telephones to QCI at any time upon a specified notice. QCI's obligations were guaranteed by a performance bond with American Diversified Insurance Company, and at the end of the lease, QCI was ***obligated to repurchase*** the phone from the customer."
