Source text - English • None of the execution, delivery or performance by Lessee of the Relevant Documents or any other document to be executed by Lessee pursuant thereto, or the consummation of any of the transactions by Lessee contemplated thereby, nor the leasing by Lessee of the Aircraft thereunder requires the consent or approval of, the giving of notice to, the registration or filing for recordation with, or the taking of any other action in respect of, any Government Entity of the State of Registration except for (i) the issuance of a certificate of airworthiness and a certificate of registration with respect to the Aircraft issued by the Aeronautics Authority naming Owner as the owner of the Aircraft, (ii) the filing with the Aeronautics Authority of the consent of the Owner, and (iii) such other filings or actions as have either been made or taken or are not yet due or required but will be made or taken prior to the date when due or required.
• Except as otherwise disclosed to Lessor in writing prior to the execution and delivery of this Lease, there are no suits or proceedings taking place, pending or, to the knowledge of Lessee, threatened in any court or before any arbiters, regulatory commission, board or other governmental agency in any jurisdiction against or affecting Lessee which relate to the Aircraft or which, if adversely determined, could reasonably be expected to have an adverse effect on the ability of Lessee to fulfil its obligations hereunder.
• The Parties expressly agree that lessee shall at all times while the aircraft is in its possession during the term maintain operational control of the aircraft. Lessee shall exercise exclusive authority over initiating, conducting, or terminating any flight conducted pursuant to this agreement, and the flight crew shall be under the exclusive command and control of lessee in all phases of such flights.
Translation - Spanish • La suscripción o el otorgamiento de los documentos pertinentes o de cualquier otro documento conforme a ellos, el cumplimiento de las obligaciones emanantes de dichos documentos por parte del Locatario, el perfeccionamiento de cualquier transacción allí detallada y la locación de la Aeronave por parte del Locatario dispuesta en dichos documentos no requerirán que el Locatario consienta o apruebe o inscriba o registre o notifique o realice acción alguna con respecto al ente gubernamental del estado en el que se realizó la inscripción excepto en los siguientes casos: (i) la emisión de un certificado de navegabilidad aérea emitido por la autoridad aeronáutica pertinente que nombre al Propietario de la Aeronave como tal, (ii) la presentación del consentimiento del Propietario en el registro de la autoridad aeronáutica y (iii) cualquier otra inscripción en un registro o acto que hayan sido realizados o que no sean exigibles o requeridos, pero que serán llevados a cabo antes de la fecha en la que se tornarán exigibles o serán requeridos.
• Según el entender del Locatario, no existen juicios o procesos, tanto en curso como pendientes, ante ningún tribunal, árbitro, comisión reguladora, órgano o cualquier organismo público en jurisdicción alguna, en contra o que afecte al Locatario en lo que respecta a la Aeronave o que, si resultaren desfavorables, pudieren imposibilitar a este de cumplir con las obligaciones estipuladas en el presente, a menos que el Locador lo informe por escrito antes de otorgar este contrato.
• Las partes acuerdan de forma expresa que el Locatario deberá ser responsable en todo momento del control operacional de la aeronave cuando esta se encuentre en su posesión durante el período de vigencia de este contrato. El Locatario dispondrá de autoridad exclusiva para iniciar, llevar a cabo o concluir cualquier vuelo realizado según el presente acuerdo. Asimismo, la tripulación estará bajo el mando y control exclusivo del Locatario en todas las fases de dichos vuelos.
