1. Geltungsbereich
1.1 Für alle unsere Leistungen gelten ausschließlich die nachstehenden Geschäftsbedingungen. Sie sind vereinbarter Bestandteil aller mit der ifw mould tec GmbH abgeschlossener Verträge. Sie gelten für künftige Kaufverträge und Geschäftsbeziehungen auch dann, wenn sie nicht nochmals ausdrücklich einbezogen werden.
1.2 Mit diesen Allgemeinen Geschäftsbedingungen (AGB) inhaltlich nicht übereinstimmende Geschäftsbedingungen unserer Geschäftspartner sind für uns nur dann verbindlich, wenn sie bei Vertragsabschluss von uns schriftlich anerkannt werden.
1.3 Gegenbestätigungen des Bestellers mit entsprechendem Hinweis auf dessen Geschäfts-bedingungen wird hiermit ausdrücklich widersprochen.
2. Angebote
2.1 Unsere Angebote sind stets freibleibend.
2.2 Muster und Proben sind unverbindliche Rahmenangaben. Alle mündlichen und schriftlichen Angaben über Eignung und Anwendungsmöglichkeiten unserer Erzeugnisse erfolgen nach bestem Wissen. Der Besteller wird nicht davon befreit, sich selbst durch eigene Prüfung von der Eignung der Erzeugnisse für den von ihm vorgesehenen Verwendungszweck zu überzeugen.
2.3 Der Vertrag kommt durch die Auftragserteilung durch den Auftraggeber zustande. Es bedarf eines Vertrages zwischen beiden Vertragsparteien, der durch eine schriftliche Auftragsbestätigung bestätigt wird.
3.Preise
3.1 Die Preise verstehen sich, soweit nicht anders geregelt, bei Warenlieferung ab Lieferfirma inkl. Verpackung. Mehrkosten aufgrund einer vom Abnehmer gewünschten besonderen Versandart (z.B. Expressgut, Eilgut) gehen zu dessen Lasten.
3.2 Der Preis für die Werkzeuge enthält die Bemusterungskosten, jedoch nicht die Kosten für vom Besteller veranlasste Änderungen.
4. Liefer- und Abnahmefristen
4.1 Lieferfristen beginnen nach Eingang aller für die Ausführung des Auftrages erforderlichen Unterlagen und rechtzeitigen Materialbeistellungen, soweit solche vereinbart worden sind.
Die Lieferfristen sind ab Eingang bzw. Klärung sämtlicher zur Erledigung des Auftrags erforderlichen kaufmännischen und technischen Unterlagen gültig. Werden nicht alle erforderlichen Unterlagen zeitgerecht übermittelt, kann dies zu geänderten Lieferfristen führen.
4.2 Lieferungen erfolgen freibleibend nach Absprache mit dem Kunden. Die ifw mould tec GmbH behält sich das Recht vor, Teillieferungen vorzunehmen.
4.3 Ereignisse höherer Gewalt beim Lieferer oder seiner Unterlieferanten verlängern die Lieferzeit angemessen. Die gilt auch bei behördlichen Eingriffen. Energie- und Rohstoffversorgungs-schwierigkeiten, Streiks, Aussperrungen und unvorhersehbaren Liefererschwernissen, sofern sie vom Lieferer nicht zu vertreten sind. Die ifw mould tec GmbH wird den Besteller hiervon unverzüglich benachrichtigen. Der Lieferer haftet bei verspäteter Lieferung aus diesen Gründen für keinerlei Schäden.
5. Verpackung, Versand, Gefahrenübergang
5.1 Sofern nicht anders vereinbart, wählt der Lieferer Verpackung und Versandart nach bestem Ermessen.
5.2 Die Gefahr geht auch bei frachtfreier Lieferung mit dem Verlassen des Lieferwerkes auf den Besteller über.
6. Zahlung
6.1 Die Rechnungsbeträge sind innerhalb von 30 Tagen nach Rechnungsdatum ohne Abzug fällig. Skontogewährung wird gesondert vereinbart. Für die Rechtzeitigkeit der Zahlung kommt es auf den Eingang des Betrages zu unserer vorbehaltlosen Verfügung an.
6.2 Bei Überschreitung der Zahlungsfrist oder nicht vollständiger rechtzeitiger Zahlung gerät der Besteller auch ohne Mahnung in Verzug. Wir sind unbeschadet sonstiger Ansprüche berechtigt, ab Fälligkeit Verzugszinsen in Höhe des jeweiligen Bankzinssatzes zu verlangen. Befindet sich der Besteller in Zahlungsverzug oder bestehen begründete Zweifel an seiner Zahlungsfähigkeit, sind wir befugt, alle Forderungen gegen ihn sofort fällig zu stellen und / oder Sicherheitsleistungen auch schon vor der Belieferung zu verlangen.
6.3 Der Besteller kann nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen aufrechnen oder nur wegen solcher Ansprüche ein Zurückbehaltungsrecht ausüben, die auf demselben Vertragsverhältnis beruhen.

1.1 The following terms and conditions apply exclusively to all our sales and services. They form an integral part of all contractual agreements entered into with ifw mould tec Gmbh. They are valid for future contracts of sale and business relations, also when they are not expressly implied.
1.2 Any General Terms and Conditions of our business partners which are not in conformity with these General Terms and Conditions shall only be recognized by us if they are only legally binding if we agree to them expressly in writing when the contract is concluded. Counter-confirmations by the customer making reference to his general trading and purchasing conditions is hereby expressly contradicted.
1.3 Statements to the contrary from the customer making reference to his own AGB, are hereby rejected.
2. Quotations
2.1 Our quotations are always subject to change and not binding.
2.2 Any samples and specimens provided are considered non-binding general framework information. All written and oral information about the suitability and application possibilities of our products are given to the best of our knowledge. The customer is not released from the obligation to conduct his own inspection of the product in order to verify the suitability for the intended application.
2.3 The contract comes into being upon the placement of an order by the customer. In order to become legally binding, the contract needs to be confirmed through the written acknowledgement of an order.
3. Prices
3.1 Unless otherwise specified, the price shall be ex-works upon delivery of goods from the supplier and include packaging. Additional costs incurred due to special delivery requirements by the customer (such as express freight and such like) shall be borne by the customer.
3.2 The prices for the mould tools are inclusive of sampling costs, but exclusive of costs incurred by modifications performed at the instigation of the customer.
4. Period for delivery and acceptance of goods
4.1 Delivery times and schedules start after receiving all documents required for the execution of the order and the timely provision of materials, if such were agreed. Delivery times become effective upon the receipt or clarification of all commercial and technical documentation necessary for the execution of the order. Where all the required documentation is not submitted in a timely manner, this may lead to a modification of the delivery periods.
4.2 Deliveries are subject to confirmation, following consultation with the customer. ifw mould tec Gmbh reserves the right to effect partial deliveries.
4.3 In the event of an Act of God arising during delivery of goods by the supplier or any subcontractors thereof, the delivery times will be prolonged accordingly. This is also valid in the case
of official government interference, difficulties in procuring energy or raw materials, strike, lock-outs, or other unforeseeable, exceptional circumstances or obstacles to the supply chain, where the supplier is unable to cope with these. Ifw mould tec Gmbh undertakes to inform the customer of such circumstances without delay. The supplier will not be liable for any damages of any kind due to delayed deliveries arising from such causes.
5. Packaging, dispatch, transfer of risk
5.1 Unless otherwise agreed, the supplier reserves the right to select the packaging and the mode of dispatch according to his own discretion.
5.2 Even when delivery is carriage paid, the risk transfers to the customer at the time goods are dispatched from the supplier’s plant.
6. Settlement
6.1 The invoice amounts are payable within 30 days of the date of invoice without deductions. The allowance of a discount shall be agreed upon separately. The timeliness of a payment is judged by the date the amount is credited to our account and is at our free disposal.
6.2 If the payment period is exceeded, or if the full amount is not paid on time, the buyer shall default on the order even without reminder. We shall be entitled, without prejudice to further claims, to claim default interest as of the due date, according to the applicable interest rate. If the buyer is in payment arrears or should we become aware of reasons to doubt the ability of the customer to pay, we shall be entitled to demand immediate payment of outstanding amounts and/or the provision of security against payment even prior to the dispatch of goods.
6.3 The customer is only entitled to offset against claims that are undisputed or have been determined as legally valid, or may only exercise a right of retention regarding asserted claims which are based upon the same contractual relationship.
