L'anglais juridique a la détestable manie de vouloir toujours utiliser le moins de mots possible, mais je pense que la phrase devient plus claire ainsi : exclusive of persons who are in the employment of the Company and of persons who, having been formerly in the employment of the Company, were members of the Company while [they were] in such employment and have continued to be members of the Company after the termination of such employment = étaient membres de la société alors qu'ils étaient ainsi employés et ont continué de l'être après la fin de cet emploi
