English to Czech Bus/Financial Law: Contract(s)

X agrees that if such employees do not transfer to X or a Replacement Provider on termination or expiry of this Agreement in accordance with the applicable Transfer Law ("Non-Transferring Employee"), then X shall indemnify Vendor against the cost of any statutory and contractual notice pay and any statutory and contractual redundancy pay payable to such Non-Transferring Employee and incurred by the Vendor in relation to any termination or redundancy (whether statutory or otherwise) of any such Non-Transferring Employees whatsoever provided that such termination of employment is effective no later than 28 days after such termination or expiry of this Agreement.
