You may want to consider this term. I have not used it in a French contract yet (but often have in English); it goes the heart of what is meant when oen party is teh right to negotiate first, ahead of all others, but not conveying the right to purchase at any price, nor the right to meet or beat the highest offer. Take a look at the link below where Batipart's default or breach eliminated its right of first offer vis-a-vis GE.
