Die Fondsanteile wurden in Anteilsrechte (Klasse A) und Mitspracherechte (Klasse B) aufgeteilt. Die Anteilsrechte wurden im Verhältnis des Wertes der eingelegten Immobilien festge-legt. Insgesamt wurden XXX Anteile zu einem Stückpreis von XXX € ausgegeben, was dem gutachterlich bestimmten Wert des Immobilienportfolios von XXX Mio. € entspricht. Die Anteile der Klasse A der Region sollen vollständig an private Fondsinvestoren verkauft werden. Durch diese Konstruktion wurde für den öffentlichen Fondspartner jedoch nicht nur eine „exit rule“ geschaffen. Vielmehr sichern die Mitspracherechte (Klasse B) mit einem symbolischen Wert von je einem Euro der öffentlichen Hand den Einfluss auf die Bestandsentwicklung. Sie verbleiben im Besitz der Region, womit eine sehr effiziente Governance-Regelung gefunden wurde.
Notes:
I thought one had voting rights and one didn't, but after reading further, it seems the region must hold onto voting rights with class B shares; otherwise, how much control could it still have. Also, "right to a say", the often found translation of Mitspracherecht, just doesn't seem to fit the bill here. Can anyone help?

it being understood here that both are voting rights, hence preferential voting rights on the one hand and veto voting rights on the other
