Source text - English SHARE SALE & PURCHASE AGREEMENT
This SHARE SALE & PURCHASE AGREEMENT (“Agreement”) is signed and executed in the State of Qatar on the ____th day of _____ 2020,
BETWEEN:
(1) M/s. XXXXXX, a company duly incorporated in the State of Qatar under the Industrial Registration No. 73/2010, and having its plant/factory at No. ______, New Industrial Area, Qatar (herein after referred to as the “Company”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns) of the FIRST PART;
(2) Mr. XXXXXXX, Iran National, holder of Passport No. Z37762322 (herein after referred to as the “Acquirer”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns) of the SECOND PART; and
(3) Mr. XXXXXXXXX, Qatar National, holder of ID No.________ (herein after referred to as “Seller” which expression shall, unless repugnant to the context or meaning thereof, mean and include their respective legal heirs, successors, legal representatives, administrators, executors and assigns) of the THIRD PART.
(The Acquirer, the Seller and the Company shall be individually referred to as a “Party” and collectively referred to as the “Parties”, as the context may require).
R E C I T A L S
WHEREAS:
A. The Company is a Limited Liability Company with 100% ownership by the Qatari nationals engaged in the production and processing of food items. (“Business”).
B. The Seller holds and owns 100% Shares in the Company as a sole Qatari partner and has been trying to accommodate the Acquirer as an expatriate partner in the Company and the Company could be converted in to a normal LLC Company.
C. The Seller acknowledges that the negotiation for the aforementioned transaction has been commenced in 2018 and both parties have entered in to an initial “MOU” dated 18th October 2018, by virtue of which Acquirer has been paid and the Seller received QR 5,000,000 (Qatari Riyal Five Million only) till date.
D. Seller further acknowledges that due to some technical barrier (“Technical Barrier”) in concerned authorities the transaction contemplated in the MOU has been prolonged and the possible date of transfer of shares still remain uncertain due to the existence of such barrier. Hence both Parties agreed to enter in to this Share Sale and Purchase Agreement in order to protect and safeguard their interests.

تم توقيع وإبرام اتفاقية بيع وشراء الأسهم هذه ("الاتفاقية") في دولة قطر بتاريخ _____ من عام 2020،

(1) السادة شركة .................، وهي شركة تأسست حسب الأصول في دولة قطر بموجب السجل الصناعي رقم 73/2010، ولها معمل / مصنع رقم ______، في المنطقة الصناعية الجديدة، قطر (ويُشار إليها فيما يلي باسم "الشركة" ويشمل هذا التعبير، ما لم يتعارض مع السياق أو المعنى، ورثتها والمتنازل لهم) كطرف أول؛
(2) السيد ..........، إيراني الجنسية، ويحمل جواز سفر رقم Z37762322 (ويُشار إليه فيما يلي باسم "المستحوذ"، ويشمل هذا التعبير، ما لم يتعارض مع السياق أو المعنى، ورثته والمتنازل لهم) كطرف ثاني؛
(3) السيد ...............، قطري الجنسية، ويحمل بطاقة الهوية رقم.____________ (ويُشار إليه فيما يلي باسم "البائع" ويشمل هذا التعبير، ما لم يتعارض مع السياق أو المعنى ورثته القانونيون وخلفائه وممثليه القانونيين ومديريه وأوصيائه والمتنازل لهم) كظرف ثالث.
(يُشار إلى المستحوذ والبائع والشركة كلٌ على حدة باسم "الطرف" ويُشار إليهم مجتمعين باسم "الأطراف"، حسبما يقتضيه السياق).
التمهيد
حيث أن:
أ. الشركة هي شركة ذات مسؤولية محدودة ومملوكة بالكامل بنسبة 100% لمواطنين قطريين وتعمل في مجال إنتاج المواد الغذائية وإعدادها ("العمل").
ب. البائع يمتلك ويستحوذ على 100% من أسهم الشركة بصفته شريك قطري وحيد، ويحاول ضم المستحوذ إلى الشركة بصفته شريك أجنبي ويمكن تحويل الشركة إلى شركة ذات مسؤولية محدوة عادية.
ت. يقر البائع بأن التفاوض بشأن الصفقة المذكورة أعلاه قد بدأ في عام 2018 وأن كلا الطرفين قد أبرما "مذكرة تفاهم" أولية فيما بينهما بتاريخ 18 أكتوبر 2018، ودفع بموجبها المستحوذ وتلقى البائع مبلغ 5,000,000 ريال قطري (خمسة ملايين ريال قطري فقط لاغير) حتى تاريخه.
ث. يقر البائع كذلك بأنه نظرًا لوجود بعض العوائق الفنية ("العائق الفني") الخاصة بالسلطات المعنية، فقد تم تمديد الصفقة الواردة في مذكرة التفاهم ولا يزال التاريخ المحتمل لنقل ملكية الأسهم غير مؤكد بسبب وجود هذا العائق. وبالتالي، وافق الطرفان على إبرام اتفاقية البيع والشراء هذه من أجل حماية مصالحهما والحفاظ عليها.
