Les parties déclarent que la présente location n’a pas pour objet des locaux loués à usage d’habitation principale ou usage mixte professionnel et d’habitation principale.

Le Preneur s'engage expressément à avoir intégralement libéré le logement le 4 avr. 2015. à 13h00 au plus tard, et à remettre au Bailleur les clefs. Les clés seront restituées suite à l'état des lieux.
Lors du début de la location, le Bailleur remettra au Preneur les clefs et les instructions relatives au logement.
4. PRIX DE LOCATION ET CHARGES
Les Parties ont convenu de fixer le loyer à 980 Euros pour l’intégralité de la durée de la location décrite au paragraphe 2

1. PURPOSE OF RENTAL CONTRACT
Both parties expressly acknowledge and agree that the present rental contract is for transient occupancy of the Property, and that the Tenants do not intend to use the property as a principal
residence or household, or use it for mixed household / professional purposes.
Both parties therefore acknowledge that their respective rights and duties are defined by the terms of the present agreement, according to the French legislative decree of 28th December 1976 (modified) or failing that by the provisions of the French Civil Code. The rental property covered under this contract is let fully furnished on a seasonal basis.

3. DURATION OF THE HOLIDAY LET
The Landlord agrees to let the property to the Tenant from 21st March 2015 (_____) to 4th April 2015 (1pm) (to be confirmed upon arrival), for a maximum duration of 14 days (this duration is nonchangeable).
The tenant agrees to leave the property on 4th April 2015, by 1pm at the very latest, and agrees to return the keys to the landlord. The keys will be returned following a full property inspection and inventory.
The landlord will release the keys to the tenant at the start of the rental period with full instructions relating to the property.
4. RENTAL PRICE AND OTHER CHARGES
Both parties have agreed that the rental price will be fixed at 980€ (Euros) for the duration of the rental, as laid out in section 2.

PREAMBULE
(A) Le Maître d’Ouvragea répondu au premier appel d’offres portant sur la réalisation et l’exploitation de centrales de production d’électricité à partir de l’énergie solaire photovoltaïque au Grand-Duché de Luxembourg publié par le gouvernement luxembourgeois le 24 février 2018 (l’« Appel d’Offres Gouvernemental »).
(B) Cet Appel d’Offres Gouvernemental a été remporté par le Maître d’Ouvrage pour la construction et l’exploitation d’une centrale photovoltaïque [en toiture / au sol] (la « Centrale », telle que plus amplement décrite à l’Article 1). Cette Centrale doit désormais être réalisée et Mise en Service conformément au cahier des charges de l’Appel d’Offres Gouvernemental.
(C) Le Maître d’Ouvrage a souhaité faire appel à un professionnel reconnu et compétent pour lui externaliser la conception technique, la fourniture, la construction [pour lotsTOITURE :et la maintenance] de la Centrale.Le Maître d’Ouvrage a sélectionné le Prestataire via une procédure de marché public.
(D) Le Prestataire est un installateur et développeur spécialisé dans la conception, la construction et l’entretien de centrales photovoltaïques [au Luxembourg et dans la Grande Région], qui bénéficie d’une expérience reconnue sur des projets de nature et d’envergure similaires au projet de construction de la Centrale.
(E) C’est dans ce contexte que les Parties sont convenues de conclure le présent Contrat relatif à la conception technique, la fourniture, la construction [pour lots TOITURE :et la maintenance] de la Centrale photovoltaïque, dans les conditions ci-après :
1. OBJET DU CONTRAT
Par le présent Contrat, le Prestataire s’engage à réaliser contre rémunérationla conception technique, la fourniture, la construction [pour lots TOITURE :et la maintenance] d’une centrale photovoltaïque d’une capacité nominale prévisionnelle de XXXkWc, sur le site de XXX (le « Site » dont un extrait cadastral et plan sont en Annexe 1), (ci-après la « Centrale »).
Le Prestataire réalise l’ensemble des prestations nécessaires et utiles pour livrer la Centrale au Maître d’Ouvrage en état opérationnel et conforme aux Spécifications Techniques figurant en Annexe 2, le tout dans le respect du présent Contrat et de la Loi, ensemble les « Prestations EPC», telles que plus amplement détaillées à l’Article 3.
[pour lots TOITURE :Le Prestataire s’engage en outre à réaliser l’entretien et la maintenance de la Centrale, pour une durée de 2 (deux) ans après sa Réception Définitive (les « Prestations de Maintenance », telles que plus amplement détaillées à l’Article 11).]
Les Prestations doivent être réalisées dans les règles de l’art, d’une façon professionnelle et attentive, conformément aux bonnes pratiques et standards du secteur, et à l’aide d’installations, outils et équipements fiables et de matériels non dangereux.
Les Prestations incluent toutes mesures, travaux et matériel nécessairespour satisfaire aux exigences du Maître d’Ouvrage et qui, même sans être mentionnés dans le Contrat, sont requis pour assurer la stabilité et le fonctionnement sécurisé de la Centrale conformément aux Spécifications Techniques, et la réalisation de l’ensemble des Prestations.
2. INFORMATIONS PRECONTRACTUELLES
En vue de la réalisation des Prestations etpréalablement à la signature du présent Contrat, en particulier dans le cadre de la procédure de marché public ayant résulté en la sélection du Prestataire:
a) Le Maître d’Ouvrage a mis à disposition du Prestataire, à
titre informatif, un ensemble de documents dont la liste
figure en Annexe 3 (la « Data Room ») ;
b) Les spécifications techniques initiales du Cahier des
Charges Technique ont été mises à disposition du
Prestataire. Sur cette base, le Prestataire a proposé les
Spécifications Techniques jointes en Annexe 2,auxquelles
doit répondre la Centrale;
c) De même, le Cahier des Charges Technique a été mis à
disposition du Prestataire, qui a pu prendre connaissance
des Prestations attendues de lui ;
d) Le Prestataire a également pu effectuer une visite sur Site
et a pu obtenir des réponses à ses questions et demandes
d’informations de la part du Maître d’Ouvrage.
Le Prestataire déclare par conséquent :
(i) avoir une parfaite connaissance de la Data Room, et
reconnaît avoir disposé d’un délai suffisantpour l’analyser
et obtenir toutes les informations ou documents
complémentaires qu'il juge nécessaire pour mener à bien
les Prestations, en particulier toutes informations relatives
au Site de construction;
(ii) avoir vérifié et validé les Spécifications Techniques et le
Cahier des Charges Technique;
(iii) pouvoirainsi s'engager dans les termes du Contrat et
réaliser la Centrale conformément aux Spécifications
Techniques.
Le Prestataire ne pourra en aucun cas se prévaloir d'un défaut d'informationsprécontractuellesou d’une erreur ou omission dans les Spécifications Techniques pour former une réclamation relative à la réalisation de ses Prestations, au prix ou tenter de s'exonérer de ses responsabilités.
3. PRESTATIONSDE CONCEPTION, CONSTRUCTION ET MISE
EN SERVICE (EPC)
Le Prestataire réalise les Prestations EPC suivantes :
3.1. Phase Ingénierie
Le Prestataire réalise les Prestations d’ingénierie de la Centraleconformément au Chapitre 6.1 du Cahier des Charges Technique en Annexe 4.
Obligationsgénérales du Prestataire :
a) Le Prestataire doit s’assurer qu’il a mené l’ensemble des
recherches nécessaires relativement au Site de
construction et aux Équipements, qu’il a obtenu toutes les
informations nécessaires, tenu compte de toutes les
circonstances (inclinaison, ombre, dimensionnements…) et
réalisé toutes les études nécessaires à la réalisation de la
Centrale conformément aux Spécifications Techniques.
b) Le Prestataire effectue autant de visites sur Site qu’il juge
nécessaire au bon accomplissement des Prestations
d’ingénierie. Toute visite devra être coordonnée avec le
Maître d’Ouvrage et le propriétaire du Site.
c) Le Prestataire implémente toutes modifications jugées
nécessaires par l’ingénieur indépendant mandaté par le
Maître d’Ouvrage pour vérifier les charges additionnelles
et la stabilité.
d) Étant donné que la Data Rooma été réalisée à titre
prévisionnel par le Maître d’Ouvrage, celui-ci ne peut
garantir ni être tenu responsable de l’exactitude et de
l’exhaustivité du contenu de ladite Data Room.Il incombe
au Prestataire de vérifier la Data Roomfournie par le
Maître d’Ouvrage et décider s’il peut l’utiliser en l’état.
Dans le cas où le Prestataire valide tout ou partie de la
Data Room, il doit placer sa signature sur les documents
validés.Dans le cas contraire, il lui appartient de corriger
ou faire toutes étudeset recherches nécessaires.

INTRODUCTION
(A) The Contracting Authority answered to first call for tenders for his requirement of construction and operation of a photovoltaic power plant in the Grand-Duchy of Luxembourg published in the Luxembourgian Government on 24 February 2018 (“@Government Call for Tenders").
(B) This Government call for tenders was won by the Contracting Authority for the construction and operation of a [rooftop-mounted/ground-mounted]photovoltaic power plant("Plant", explained in more details in Article 1).This Plant has now been completed and Commissioned according to the specifications of the Government's Call for Tenders.
(C) The Contracting Authority selected through a procurement procedure a recognized and competent professional to outsource his services of engineering, procurement, construction [for works on ROOFTOP: and maintenance]of a Power Plant.
(D) The Service Provider must be an installer and developer specializing in engineering, construction and maintenance of photovoltaic plants[in Luxembourg and in the Grande Région], who has recognized experience in projects similar in kind and scope as this project of construction of a Plant.
(E) Therefore, for the above purposes, the Parties are agreed to enter into this Contract for the technical engineering, procurement, construction[for works on ROOFTOP: and maintenance] of a Photovoltaic Power Plant under the following conditions:
1. CONTRACT SCOPE
According to this Contract, the Service Provider,in return of remuneration,has agreed to perform the technical engineering, procurement, construction [for works on ROOFTOP: and maintenance] of a Photovoltaic Power Plant with a nominal capacity of XXXkWc, on the location of XXX ("Site"of which cadastral extract and plan are detailed in Annex 1), (hereinafter called the "Plant").
The Service Provider shall agree to perform all necessary and useful services to deliver the Plant in operational condition to the Contracting Authority according to the Technical Specifications described in Annex 2, and complies to all the provisions of this Contract and by regulatory law, the Services collectively called the "EPC Services", and are explained in more detail in Article 3.
[for works on ROOFTOP:The Service Provider shall also agree to perform the Plant maintenance and servicing, for a period of two (2) years following his Final Acceptance ("Maintenance Services", the services which are explained in more details in Article 11).]
The Services must be executed professionally in a professional and an attentive manner, according to the industry’s best practices and standards, and with the use of appropriate machinery, tools and equipment and non-hazardous materials.
The Services include all the required actions, works and equipment necessary to fulfill the requirements of the Contracting Authority and, even if they have not yet been included in the Contract, are necessary to ensure the stability and safe operation of the Plant according to the Technical Specifications.
2. PRECONTRACTUAL INFORMATION
In order to perform the Contract Services and prior to signing the Contract, in particular for the procurement procedure having resulted in the selection of a Service Provider:
a) For information purposes, the Contracting
Authority,handed over to the Service Provider, a set of
documents listed in Annex 3 (the "Data Room");
b) The initial technical specifications of the Design Brief have
been handed over to the Service Provider. On this basis,
the Service Provider has proposed the Technical
Specifications as described in Annex 2, to which the Plant
must meet;
c) Similarly, the Design Brief has been handed over to the
Service Provider, who was able to see the Services
expected from him;
d) The Service Provider was also able to visit the Site to
obtain answers of any questions and requests for further
information from the Contracting Authority.
The Service Provider therefore declares:
(i) having a complete knowledge of the Data Room, and
agrees that he has had sufficient time to analyze them and
obtain any additional information or documents that he
thinks may be necessary to execute the Services,
especially any information relating to the Construction
Site;
(ii) having verified and validated the Technical Specifications
and the Design Brief;
(iii) being able to respect the provisions of this Contract and
execute the Plant according to the Technical
Specifications.
The Service Provider may under no circumstances rely on a lack of pre-contractual information or an error or omission in the Technical Specifications to make a claim relating to the execution of his Services, the price or to attempt to exonerate himself from his responsibilities.
3. EPC SERVICES(ENGINEERING, CONSTRUCTION AND
COMMISSIONING)
The Service Provider shall perform the following EPC Services:
3.1. Engineering Phase
The Service Provider shall perform the Plant's Engineering Services as defined in Chapter 6.1 of the Design Brief in Annex 4.
General Obligations of the Service Provider:
a) The Service Provider must ensure that he has gone
through all the necessary researches relating to the
Construction Site and Equipment, after taking into
considering all the circumstances(inclination, shadow,
sizing...) and obtaining all the necessary information to
build the Plant according to the Technical Specifications.
b) If the Service Provider thinks it’s necessary for the
Engineering Services, he may plan several visits to the
Site. Any Site visit must be coordinated with the
Contracting Authority and the Site Owner.
c) He shall implement all the changes considered necessary
by the independent engineer appointed by the Contracting
Authority to check additional charges and stability.
d) Since the Data Room has been provisionally updated by
the Contracting Authority, he cannot guarantee or be held
responsible for the accuracy and completeness of the
contents of said Data Room. It is the Service Provider's
responsibility to check the Data Room provided by the
Contracting Authority and whether he can use it in his
original form. In the case where he validates all or part of
the Data Room, he must place his signature on the
validated documents. Otherwise, it is up to him to correct
