Source text - German § 10 Aufrechnungs- und Zurückbehaltungsrecht
Gegen die Ansprüche des Anbieters kann der Kunde nur mit unbestrittenen oder rechtskräftig festgestellten Ansprüchen aufrechnen.
Dem Kunden steht die Geltendmachung eines Zurückbehaltungsrechts nur wegen solcher Gegenansprüche zu, die aus demselben Vertragsverhältnis resultieren wie diejenigen Ansprüche, denen das Zurückbehaltungsrecht entgegengehalten wird.
Diese Einschränkung gilt nicht, wenn die vom Anbieter zu erbringenden Leistungen, die ihre Grundlagen in verschiedenen Einzelverträgen haben, untrennbar/eng miteinander verbunden sind.
§ 11 Geheimhaltung, Datenschutz
Der Kunde wird hiermit gemäß § 33 Abs. 1 des Bundesdatenschutzgesetzes davon unterrichtet, dass der Anbieter personenbezogene Daten in maschinenlesbarer Form speichert und für Aufgaben, die sich aus dem Vertrag ergeben, maschinell verarbeitet.
Soweit sich der Anbieter zur Erbringung seiner Leistungen Dritter bedient, ist er berechtigt, die Teilnehmerdaten unter Beachtung der Regelung des § 28 Bundesdatenschutzgesetz offen zu legen.
Diese Berechtigung besteht auch dann, wenn die Übermittlung von Daten zur Erkennung, Eingrenzung und/oder Beseitigung von Störungen und Fehlern in den Anlagen des Anbieters selbst sowie in den vom Anbieter genutzten Anlagen Dritter erforderlich ist.
Der Anbieter erklärt, dass seine Mitarbeiter, die bei der Abwicklung dieses Vertrages tätig werden, auf das Datengeheimnis gemäß § 5 Bundesdatenschutzgesetz verpflichtet worden sind und dass der Anbieter die nach § 9 Bundesdatenschutzgesetz erforderlichen technischen und organisatorischen Maßnahmen getroffen hat, um die Ausführung der Vorschriften des Bundesdatenschutzgesetzes zu gewährleisten.
§ 15 Schlussbestimmungen
Mündliche Nebenabreden existieren nicht.
Änderungen oder Ergänzungen der Einzelverträge, AGB oder sonstiger Dokumente bedürfen der Schriftform.
Dies gilt auch für die Aufhebung des Schriftformerfordernisses.
Soweit diese AGB bestimmen, dass Willenserklärungen bzw. Mitteilungen schriftlich zu erfolgen haben, wird die Schriftform auch durch Verwendung der Textform, d.h. per Telefax oder per E-Mail, gewahrt.
Die AGB, Zusatzdokumente sowie die Einzelverträge unterliegen deutschem Recht.
Die Anwendung des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf (CISG) ist ausgeschlossen.
Sollten einzelne oder mehrere Bestimmungen der AGB nichtig, unwirksam oder lückenhaft sein oder werden, so bleibt der Bestand der übrigen Regelungen hiervon unberührt.
Gerichtsstand für alle Streitigkeiten aus diesem Vertrag ist Köln.
Der Anbieter ist jedoch auch berechtigt, Klage am Sitz des Kunden zu erheben.
Translation - English Section 10 Right of set-off and right of retention
The Customer may only set off such claims against the Provider's claims which are undisputed or have been finally and bindingly established in law.
The Customer is entitled to assert a right of retention only for such counter-claims as result from the same contractual relationship as those claims against which the right of retention is exercised.
This restriction does not apply if the services to be rendered by the Provider, which are based on different individual contracts, are closely and inextricably linked.
Section 11 Confidentiality, data protection
In accordance with section 33 subsection 1 of the Data Protection Act [Bundesdatenschutzgesetz] the Customer is hereby notified that the Provider stores personal data in machine-readable form and automatically processes the data for functions arising from the contract.
Insofar as the Provider uses the services of third parties for the provision of its services, he is entitled to disclose the subscriber data in compliance with the provisions of section 28 of the Data Protection Act.
This permission also subsists if the transfer of data is necessary to detect, contain and/or remedy disruptions and faults in the equipment of the Provider as well as third party equipment used by the Provider.
The Provider represents that his staff, which is involved in the implementation of this agreement, has been placed under an obligation to maintain data confidentiality in accordance with section 5 of the Data Protection Act and that the Provider has taken the necessary technical and organisational measures in accordance with section 9 of the Data Protection Act to ensure the implementation of the provisions of the Data Protection Act.
Section 15 Final provisions
There are no verbal side agreements.
Changes or additions to individual contracts, terms and conditions or other documents must be in writing.
This also applies to the repeal of the requirement of the written form.
Where these terms and conditions provide that declarations of intent or notifications must be made in writing, the written form shall also include text formats, i.e. fax or email.
The terms and conditions, additional documents and individual contracts are subject to German law.
The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
Should one or more provisions of these terms and conditions be or become void, invalid or incomplete, the validity of the remaining provisions remains unaffected.
The place of jurisdiction for all disputes arising from this contract is Cologne, Germany.
The Provider is, however, also entitled to bring a legal action at the Customer's place of business.
