The cash consideration will be up to USD ____ billion, paid in two deferred installments as follows:

1. up to USD ___ million will be paid on the first anniversary of Closing; and
2. up to USD ___ million will be paid on the second anniversary of Closing.
in each case subject to the resolution of the XXX litigation (see below) and the absence of any other challenge to the LTE licences by the date of the respective payment and as reduced by any withholding for contingent, or set-off for final, indemnity claims.

Answer:

It's a 4G bandwidth licence. Must confess I don't know what it stands for.
