Definition: The Principle of Indemnity

To explain an indemnity agreement, it is first necessary to define the term "indemnity." Indemnity is defined as "a duty to make good any loss, damage, or liability incurred by another (Black's Law Dictionary). Indemnity has the general meaning of "hold harmless;" that is, one party holds the other harmless for some loss or damage. Some variations of meaning for therm "indemnity:"
Indemnity also includes an understanding that an injured party has a right to claim reimbursement or compensation for a loss or damage against the person who has the duty.
Indemnity can also refer to compensation for loss or damage from the actions of another party
And indemnity can also also be described as a legal exemption from loss or damages, as in the case of an indemnity clause in a contract.

13.1 Sprzedający przyjmuje na siebie ryzyko z tytułu wszelkiego uszkodzenia, utraty, kosztów i wydatków, a także zobowiązuje się zabezpieczyć, odpierać powództwa oraz zwolnić od odpowiedzialności Nabywcę, jego członków zarządu, pracowników i przedstawicieli, z tytułu wszelkiego odszkodowania, roszczeń, żądań, wydatków (w tym uzasadnionych kosztów zastępstwa prawnego), strat lub zobowiązań o jakimkolwiek charakterze (w tym odpowiedzialności producenta za produkt) bez względu na to, czy obejmują one uszkodzenie ciała jakiejkolwiek osoby (w tym pracowników Sprzedawcy i Nabywcy) bądź uszkodzenie własności (w każdym wypadku opartych na zasadzie ryzyka), oraz z tytułu wszelkiego powództwa, podstaw roszczenia i postępowania, powstałych w związku z nimi lub w sposób domniemany powstałych w związku z nimi czy też powiązanych z przedmiotem niniejszego Zlecenia zakupu z wyjątkiem sytuacji, w których takie uszkodzenia ciała lub uszkodzenie zostały spowodowane w sposób umyślny przez Nabywcę. Niniejsza klauzula dotycząca zwolnienia z odpowiedzialności obowiązywać będzie również po rozwiązaniu bądź anulowanie niniejszego Zlecenia zakupu, bądź którejkolwiek jego części.

13.1 Seller assumes the risk of all damage, loss, costs and expense, and agrees to indemnify, defend and hold harmless Buyer, its officers, employees and representatives, from and against any and all damages, claims, demands, expenses (including reasonable attorneys' fees), losses or liabilities of any nature whatsoever (including the product reliability), and whether involving injury or damage to any person (including employees of Seller and Buyer) or property (in any case based on the principle of risk), and any and all suits, causes of action and proceedings thereon arising or allegedly arising from or related to the subject matter of this Purchase Order, except where such injury or damage was caused by the intentional guilt of Buyer. This indemnity shall survive the termination or cancellation of this Purchase Order, or any part hereof.
