This Affiliation Agreement ("Agreement") is entered into with effect from April 1, 2006 by and between XXX. ("PI"), a non-profit organization organized under the laws of the State of New York, in the United States of America with its principal office at XXXX, Rhode Island 02887 and XXX ("XXX"), a non-profit Colombian society registered under Colombian laws with its Headquarters at XXX, XXX Colombia;
PI and XXX shall collectively be referred to as the parties, which expression shall mean and include their respective successors in title.
Section!. RECITALS
WHEREAS PI is a not-for-profit international humanitarian development organization, without religious, political or government affiliation.
WHEREAS PI is owner of the trade name "XXX" and related trademarks, service-marks and symbols.
WHEREAS XXXX is a not-for-profit foundation registered under Colombian laws with similar aims and objectives as PI, to operate in the geographical area of Colombia and, will use the name XXXX and the related trademarks, service-marks and symbols.
WHEREAS XXXX was established to operate using Pi's brand to raise funds, initially from sources within Colombia, and potentially from Colombian sources overseas, and to use those funds to support child-centered community development projects within Colombia.
WHEREAS PI and XXXX have through a process of discussion and consultation and under the authority of their respective Boards agreed to execute and deliver the present document in order to reflect the relationship between the parties.
WHEREAS the objective and purpose of this Agreement is to perpetuate through an affiliation the common mission of PI and XXX subject to the terms and conditions hereof.
WHEREAS XXX understands and acknowledges the importance of the high and uniform standards of ethics and quality imposed by PI in order to maintain the value of Pi's trademarks, name and reputation and acknowledges the necessity of operating in a manner which is compatible with Pi's standards, values and management practices. These standards, values and practices are embodied in the PI Standards attached as Schedule A to form a part of this Agreement ("PI Standards").

Este Acuerdo de Asociación (el "Acuerdo") se suscribe a partir del 1 de abril de 2006 por y entre XXX. (“PI”) una organización sin ánimo de lucro creada bajo las leyes del Estado de Nueva York, en los Estados Unidos de América, cuyas oficinas se encuentran en XXXX Rhode Island 02887 y la XXX ("XXX"), una entidad colombiana sin ánimo de lucro registrada baja las leyes colombianas cuya sede principal se encuentra en XXX, Colombia.
Se debe hacer referencia conjuntamente a PI y a la XXX como las partes, cuya expresión significará e incluirá a sus respectivos sucesores en cargo.
Sección 1 NARRACIÓN
CONSIDERANDO que PI es una organización de desarrollo humanitario internacional sin ánimo de lucro, sin afiliación religiosa, política o gubernamental.
CONSIDERANDO que es dueña de la razón social "XXX" y demás nombres comerciales, marcas de servicio y símbolos.
CONSIDERANDO que la XXX es una entidad sin ánimo de lucro registrada bajo las leyes colombiana con propósitos y objetivos similares a los de PI, para operar en el área de la geografía colombiana y que va a utilizar el nombre de XXX y los nombres comerciales, marcas de servicio y símbolos.
CONSIDERANDO que la XXXX se creo para operar utilizando la marca de PI para recaudar fondo, inicialmente de fuentes en Colombia y potencialmente de otras fuentes fuera de Colombia y que utilizará dichos fondos para apoyar proyectos de desarrollo de comunidades centrados en la niñez.
CONSIDERANDO que PI y la XXX han acordado a través de procesos de discusión y consultoría y bajo la autoridad de sus correspondientes Juntas de Directivos ejecutar y entregar el presente documento para poder reflejar las relaciones entre las partes.
CONSIDERANDO que el objetivo y propósito de este Acuerdo es perpetuar a través de una asociación la misión en común de PI y de la XXX sujeto a los términos y condiciones del mismo.
CONSIDERANDO que la XXX comprende y reconoce la importante de contar con estándares altos y uniformes de ética y calidad impuestos por PI con el fin de mantener el valor de los nombres comerciales y su reputación y reconoce la necesidad de operar de tal manera que sea compatible con los estándares de PI, con sus valores y prácticas de gestión. Estos estándares y prácticas están incluidas en los Estándares PI adjuntos como Anexo A para que sean parte de este Acuerdo (“Estándares PI”).
