This Business Services Agreement is made and is effective as of 1st of January 2015, by and between:
Service Provider:[Legal entity] (“Provider”)
Customer: [Legal entity] (“Customer”)
Provider and Customer are individually referred to as a “Party” and, collectively, the “Parties”
Witnesseth:
Whereas, the Parties are affiliates of ____________ A/S ("____________"; and together with the Parties and the other subsidiaries and affiliates of ____________, the “____________ ____________”);
Whereas, Customer is in need of certain business services as each such service is more particularly described on the related schedule attached hereto and made a part hereof (the “Services”), as such schedule may be amended, supplemented or otherwise modified from time to time in accordance with the terms hereof (each a “Service Schedule” and, collectively, the “Service Schedules”), and Provider is capable of and, willing to provide such Services for, and in consideration of, the fees set forth with respect to each such Service on the applicable Service Schedule (collectively, the “Service Fees”); and
Whereas, in conjunction with providing the Services and included as a component of the Service Fees will be certain related costs and expenses incurred by Provider also as described on the Service Schedules hereto (collectively, “Service Costs”);
Now, therefore, for and in consideration of the foregoing and the terms and conditions contained hereinafter, the Parties hereto agree as follows:
1. Term.
(a) Subject to the other provisions of this Agreement, the term of this Agreement shall commence as of the date first above written (the “Commencement Date”), and shall terminate on the earlier of (i) the dissolution of Customer or (ii) six (6) months notice from Provider.
(b) Unless earlier terminated under 1(a) above, the initial term of this Agreement shall be one (1) year from the Commencement Date. Thereafter, this Agreement shall automatically renew on the same terms and conditions for successive one (1) year periods.
(c) Notwithstanding the foregoing, this Agreement shall remain in effect, and Provider may continue to provide the Services to Customer hereunder in accordance with the terms hereof, for a period not to exceed six (6) months following any transfer or sale of the interests of ____________ in Customer to any party not affiliated with the ____________ ____________.

El presente Contrato de Servicios Comerciales se realiza y entra en vigor a partir del 1 de enero de 2015 y se celebra entre:
Proveedor de Servicios: [Razón social] (“Proveedor”)
Cliente: [Razón social] (“Cliente”)
El Proveedor y el Cliente, en lo sucesivo y de manera individual la “Parte” y de manera colectiva las “Partes”.
De conformidad:
Considerando que las Partes son afiliadas de ________________ (“_____________” y junto con las Partes y otros subsidiarios y afiliados de ______________, el “______________ ______________”)
Considerando que el Cliente tiene necesidad de ciertos servicios comerciales, mismos que se describen a detalle en el programa adjunto al presente y forman parte del presente (los “Servicios”) y que dicho programa puede ser enmendado, complementado o modificado en cualquier forma de manera eventual en concordancia con los términos aquí presentes (en lo individual, un “Programa de Servicio” y, de manera colectiva, los “Programas de Servicios”) y que el Proveedor tiene la capacidad y voluntad de proveer dichos Servicios a cambio, y en consideración, de las tarifas señaladas en relación con cada Servicio en el Programa de Servicio aplicable (de manera colectiva, las “Tarifas de Servicio”) y
Considerando que, en conjunto con el suministro de los Servicios y como parte de las Tarifas de Servicio, habrán ciertos costos y gastos en los que incurra el Proveedor, mismos que se describen en los Programas de Servicios en el presente contrato (de manera colectiva, los “Costos de Servicio”);
Por lo tanto, y en consideración con lo anterior y los términos y condiciones a continuación, las Partes acuerdan por la presente con lo siguiente:
1. Plazo.
(a) Sujeto a otras disposiciones del presente Contrato, el plazo del presente Contrato comenzará con la fecha descrita anteriormente, (la “Fecha de Inicio”) y vencerá en lo que suceda primero de (i) la disolución del Cliente o (ii) con una notificación con seis (6) meses de anticipación por parte del Proveedor.
(b) A menos que se rescinda de acuerdo al 1(a) anterior, el plazo inicial del presente Contrato será de un (1) año a partir de la Fecha de Inicio. A partir de ahí, el presente Contrato se renovará de manera automática con los mismos términos y condiciones por períodos sucesivos de un (1) año.
(c) A pesar de lo anterior, el presente Contrato permanecerá en vigor, y el Proveedor podrá continuar suministrando los Servicios al Cliente descritos en el presente, de acuerdo con los términos aquí contenidos, durante un período que no exceda de seis (6) meses, después de cualquier transferencia o venta de los intereses de ______________ en el Cliente a cualquier parte no afiliada con el ______________ ______________.
