Source text - French L'Assemblée Générale Extraordinaire est seule compétente pour décider l'augmentation du capital, sur les rapports du Conseil d'administration et du Commissaire aux comptes, contenant tes indications requises par l'Acte Uniforme.
Toutefois, l'assemblée générale après avoir autorisé l'augmentation de capital, peut déléguer au conseil d'administration, la compétence pour décider de l'augmentation de capital. Dans ce cas, l'assemblée générale fixe la durée, qui ne peut excéder vingt quatre (24) mois, durant laquelle cette délégation peut être utilisée et le plafond global de cette augmentation. Le conseil d'administration, dispose alors des pouvoirs nécessaires pour fixer les modalités d'émission, constater la réalisation des augmentations de capital qui en résultent et procéder à la modification corrélative des statuts.
Toutefois, l'assemblée générale peut déléguer au Conseil d'Administration les pouvoirs nécessaires à l'effet de réaliser l'augmentation en une ou plusieurs fois, d'en fixer tout ou partie des modalités, d'en constater la réalisation et de procéder à la modification corrélative des statuts.
Le capital doit être intégralement libéré avant toute émission d'actions nouvelles en numéraires.
En cas d'apports en nature ou Ce stipulations d'avantages particuliers, un ou plusieurs Commissaires aux apports sont désignés à l'unanimité des actionnaires ou à défaut, par décision de justice à la demande du Président du conseil d'administration ou du Directeur Général.
Translation - English The Extraordinary General Assembly, on the report of the Board of Directors and the Auditor, has sole authority to decide to increase the capital, containing the information required by the Uniform Act.
However, the General Assembly after having authorised capital increase, may delegate to the Board of Directors, the competence to decide on the capital increase. In this case, the General Assembly sets the duration, which must not exceed twenty-four (24) months, during which the delegation may be used and the overall limit of this increase. The Board of Directors then has the necessary powers to establish the insurance terms, record the completion of the capital increase and make the corresponding amendment of the articles.
However, the General Assembly may delegate to the Board the necessary powers in order to achieve, within the time provided by law, the increase in capital in one or several times, to set the terms, to record its achievement and proceed to amend the articles.
The Capital must be completely paid-up before any issuance of new paid-up cash shares.
In case of contributions in-kind or stipulation of special benefits, one or more shares auditor are designated unanimously by the shareholders or alternatively, by court decision at the request of the President of the Board of directors or General Manager.
