La última duda:
The Directors may retain any dividends payable on shares on which the Company has a lien, and
may apply the same in or towards satisfaction of the debts, liabilities or engagements in respect
of which the lien exists.
Tenía claro traducirlo en primer lugar como "derecho de retención", quedando así:
Los Directores podrán conservar cualquier dividendo pagadero en acciones sobre las cuales la Sociedad tenga un derecho de retención y puede utilizar dicho dividendo para liquidar las deudas, obligaciones y compromisos al respecto de los cuales exista ese "derecho de retención".
En el segundo caso, no me cuadra "derecho de retención" (sobre deudas). ¿Podría ser "gravamen" / "embargo" en ambos casos??

The last reference means that there is a lien over the dividends to meet payment of the debts, etc. which the lien is created to cover, or secure. I hope that is clear.
