Dutch to Romanian: Verklaring gewijzigde statuten/Declaratie modificare statut societate
Source text - Dutch Heden, vijfentwintig juni tweeduizend zeven, verscheen voor mij,
mr. Maria Francisca Elisabeth de Waard-Preller, notaris te Rotterdam:
mr. Cynthia Lorena Moyano, werkzaam teirkantore van mij, notaris, te 3014 DA Rot- -terdam, Weena 750, geboren te Buenos Aires, Argentinie op dertig april negentienhon-
derd vijfenzeventig. -
De comparante verklaarde dat de enig aandeelhouder van Project Sierra 4 B.V., een -besloten vennootschap met beperkte aansprakelijkheid, statutair gevestigd te Amster- -dam (adres: Amsteldijk 166, 6 hoog, 1079 LH Amsterdam, handelsregisternummer: — 34247826), bij besluit de dato achttien juni tweeduizend zeven als bedoeld in artikel 14 van de statuten van voormelde vennootschap, besloten heeft de statuten van voormelde vennootschap te wijzigen. De statuten zijn laatstelijk gewijzigd op vijfentwintig juli —
tweeduizend zes voor een waarnemer van mij, notaris te Rotterdam.
Ter uitvoering van voormeld besluit verklaarde de comparante de statuten van voor- —
melde vennootschap als volgt te wijzigen:
Artikel 1 lid 1 komt te luiden als volgt:
"1. De vennootschap is genaamd: River Plaza B.V.".
SLOTVERKLARING
De comparante verklaarde tenslotte:
dat zij bij voormeld aandeelhoudersbesluit is aangewezen om de verklaring als
bedoeld in artikel 2:235 van het Burgerlijk Wetboek aan te vragen of te doen -
aanvragen en om na het verkrijgen van die verklaring de notariele akte van sta
tutenwijziging te doen verlijden;
dat bedoelde verklaring is verkregen blijkens een aan deze akte gehechte Mi- — nisteriele verklaring nummer B.V. 1371059 de dato tweeentwintig juni twee- -duizend zeven.
De comparante is mij, notaris, bekend.
Deze akte is verleden te Rotterdam op de dag aan het begin van deze akte vermeld. —
Nadat vooraf door mij, notaris, de zakelijke inhoud van deze akte aan de comparante is
medegedeeld en door mij, notaris, is toegelicht, heeft zij verklaard van de inhoud daar-
van te hebben kennisgenomen, met de inhoud in te stemmen en op volledige voorle- —
zing daarvan geen prijs te stellen. Onmiddellijk na beperkte voorlezing is deze akte —
door de comparante en mij, notaris, ondertekend.

Numita declara ca singurul actionar al societatii Project Sierra 4 SRL, o societate cu raspundere limitata, cu sediul in Amsterdam (Adresa: Amsteldijk 166, Et. 6, 1079 LH Amsterdam, cu numarul de inregistrare 34247826 in Registrul Comertului), a luat hotararea de a modifica statutul societatii, prin decizia din 18 iunie 2007, asa cum enunta articolul 14 privind statutul societatii~.
Statutul societatii a fost schimbat ultima oara la data de 25 iulie 2006, in prezenta mea,notar in Rotterdam.
Ca executie a deciziei sus-mentionate, numita declara ca statutul societatii mai sus mentionate va fi schimbat in:
Articolul 1, alineatul(1) va avea urmatorul cuprins:
1. Societatea se numeste River Plaza B.V.".
Sfarsitul declaratiei.
Numita declara in final ca:
Prin sus-numita decizie a actionarului societatii, este inputernicita sa solicite sau sa delege pe alcineva sa solicite adeverinta, asa cum este ea definita de articolul 2: 235 din Codul Civil, si dupa obtinea ei sa intocmeasca actul de schimbare a statutului societatii la un notar public;
Adeverinta sus-mentionata a fost obtinuta conform unei adeverinte ministeriale cu numarul B.V. 1371059 din data de 25 iunie 2007, adaugata acestui act.
Numita este in evidenta mea, notar public.
Acest act este intocmit la Rotterdam, la data mentionata la inceputul acestui act.
In urma prezentarii continutului acestui act si a explicarii lui in fata numitei, de catre mine, notar public, numita a declarat ca a luat cunostinta de continutul acestui act, ca este de acord cu cele mentionate in act si ca nu doreste citirea integrala a actului de catre notarul public. Imediat dupa lecturarea fragmentata a actului, acesta a fost semnat de catre numita si de catre mine, notar public.
