Source text - Russian Срок и окончание деятельности Совместного Предприятия
1. Договор заключается на 15 лет. Он может быть расторгнут каждым из участников с предупредительным сроком в один год к 31 декабря соответствующего года.
2. Участники Совместного Предприятия имеют право на расторжение Договора без предварительного предупреждения при наличии веских оснований:
- если, несмотря на письменное предупреждение, имеет место нарушение другим Участником существенных положений настоящего Договора, которое влияет на хозяйственную деятельность Совместного Предприятия, и если нарушение не будет устранено в течение 30 дней со дня поступления предупреждения;
- если один из Участников, из-за каких-либо действий властей, прямо или косвенно будет ограничен в исполнении своих прав (необеспечение права на перевод имущества и доходов, ограничение в отношении персонала), в связи с чем станет невозможным выполнение настоящего Договор;
- при наличии обстоятельств непреодолимой силы в соответствии с 14.
3. Сообщение о расторжении Договора должно быть направлено заказным письмом другому Участнику Совместного Предприятия по соответствующему адресу.
4. В случае расторжения настоящего Договора, Устав считается утратившим силу.
5. При ликвидации Совместного Предприятия или выхода одного из Участников из Совместного Предприятия настоящий Договор утрачивает свою силу.
Translation - English Lifetime and Termination of the Joint Venture
1. This Agreement is active for 15 years. It can be dissolved by either of the Partners by providing a one-year notice by December 31 of the given year.
2. The Partners of the Joint Venture have the right to dissolve the Agreement without notice if they have a valid reason:
- if, despite receiving a written notice, one of the Partners has violated numerous provisions of this Agreement which effects the commercial operations of the Joint Venture, and if the violation has not been remedied within 30 days of receiving the notice;
- if one of the Partners, due to the actions of authorities, becomes directly or indirectly limited in their ability to fulfill their responsibilities (i.e. loss of right to transfer property and income, limitations regarding personnel), due to which it becomes impossible to implement this Agreement;
- due to Acts of God as outlined in Article 14.
3. A notice of dissolution of this Agreement shall be sent by registered mail to the other Partner of the Joint Venture at the corresponding address.
4. In the event that the Agreement is dissolved, the Charter shall be considered void.
5. In the event that the Joint Venture is closed or one of the Partners leaves the Joint Venture, then this Agreement shall be considered void.
