Source text - English THE PARTIES HEREBY AGREE AS FOLLOWS :
The contractual relationships of the parties hereto shall be governed by the “Specific Conditions” and the “Standard terms and conditions” hereinafter. Only the Specific Conditions are likely to depart from the Standard Terms and Conditions.
SPECIFIC CONDITIONS
RECITALS :
Decree 2002-140 dated 4 February 2002, modified on 1 August 2003, defines the obligations of television services broadcasters towards independent production, and provides under Article 14 – I – 1 that such broadcasters may acquire the rights in the broadcast of a programme for a maximum duration of 18 months as from the date of delivery and that such broadcasters may be entitled to a priority option for additional multiple broadcasts.
Consequently, THE CHANNEL, wishing to acquire the additional broadcasting rights of said programme, has informed Licensor that it wished to exercise its right of option for the purchase of a second additional multiple broadcast of the programme, which Licensor accepts.
ARTICLE 1 : PURPOSE
Licensor hereby grants THE CHANNEL the right to broadcast and have broadcast, in the Territories, by the Media and during the Term set forth herein below, the programme whose characteristics are as follows :
1.1 – Title of Programme : Suppositions
1.2 – Nationality of Programme : French
1.3 – Original version of Programme : French
1.4 – Version of Programme as delivered : English
1.5 – Version of exploitation : English
1.6 – Number of episode : 10
1.7 – Duration per episode : 50’
1.8 – Total duration : 10x50’
1.9 – Name of director : Albert Schmidt
1.10 – Date of production : 1999
1.11 – Producer(s) and co-producer(s) : N/A
Hereinafter called : the “Programme”.
ARTICLE 2 : TERM AND NUMBER OF BROADCASTS
2.1 Term
Licensor hereby grants the broadcasting rights of the Programme to THE CHANNEL for a duration of 12 months, in application of the exercise by THE CHANNEL of its right of option for the second multiple broadcast of the Programme hereunder.
Accordingly, the exploitation period of the Programme shall commence as from 1 January 2008 and shall end on 31 December 2008,
subject to delivery of the Material in the conditions set forth in Article 3 of the Standard Terms and Conditions.
Should the delivery date of the Material take place after the beginning of the above-mentioned exploitation period of the Programme, such exploitation period shall have a duration of 12 months as from the delivery date of the Material.
2.2 Number of broadcasts
Licensor hereby grants to THE CHANNEL, which accepts, the right to broadcast the Programme for 1 (one) multiple broadcast per episode, plus 1 (one) additional multiple broadcast per episode as resulting from the exercise by THE CHANNEL of its right of option, being a total of 2 (two) multiple broadcasts, each consisting of a maximum of 8 (eight) runs in a period of 2 (two) months.
ARTICLE 3 : TERRITORIES
3.1 : Exclusive Territories : France (DOM TOM included), Andorra, Monaco.
The rights granted to THE CHANNEL on the territories mentioned above are to be understood as exclusive. As such they imply that no other broadcaster in France shall be authorized to broadcast the Programme regardless of their broadcasting media (hertzian, cable, satellite, encrypted, etc…).

ETANT PREALABLEMENT RAPPELE CE QUI SUIT :
Le décret n° 2002-140 du 4 février 2002 modifié le 1er août 2003, qui définit les obligations des éditeurs de services de télévision à l’égard de la production indépendante, prévoit notamment en son Article 14 - I - 1, que les éditeurs peuvent acquérir une diffusion du programme pendant une durée maximum de 18 mois à compter de leur livraison et peuvent bénéficier d’un droit d’option prioritaire pour des multidiffusions supplémentaires.
En conséquence, LA CHAINE qui souhaite acquérir les droits de diffusion supplémentaire dudit programme, a informé le CONTRACTANT qu’elle désirait faire jouer son droit d’option pour l’acquisition d’une deuxième multidiffusion supplémentaire du programme, ce que le CONTRACTANT a déclaré accepter.
ARTICLE 1 - OBJET DU PRESENT CONTRAT
Le CONTRACTANT cède à LA CHAINE le droit de diffuser et faire diffuser sur les territoires, supports et durée, définis ci-dessous, le programme dont les caractéristiques sont les suivantes :
1.1 - Titre du Programme : Suppositions
1.2 - Nationalité du Programme : Française
1.3 - Version originale du Programme : Française
1.4 - Version délivrée du Programme : Anglaise
1.5 - Version d’exploitation : Anglaise
1.6 - Nombre d’épisodes : 10
1.7 - Durée par épisode : 50’
1.8 - Durée totale : 10x50’
1.9 - Nom du réalisateur : Albert Schmidt
1.10 - Date de production : 1999
1.11 - Producteur(s) et co-producteur(s) : N/A
Ci-après dénommé : le « Programme »
ARTICLE 2 - DUREE ET NOMBRE DE DIFFUSIONS :
2.1 Durée :
Le CONTRACTANT cède à LA CHAINE les droits de diffusion du Programme pour une durée de 12 (douze) mois par épisode, et ce en application de l’option consentie à LA CHAINE par le CONTRACTANT pour la deuxième multidiffusion du Programme objet des présentes.
En conséquence, la période d’exploitation du Programme sera du 1 er janvier 2008 au 31 décembre 2008,
sous réserve de la livraison du Matériel telle que définie à l’Article 3 des Conditions Générales.
Dans le cas où la date de livraison du Matériel serait postérieure à la date de début de la période d’exploitation mentionnée ci-dessus, la période d’exploitation mentionnée sera d’une durée de 12 (douze) mois à compter de la date de la livraison du Matériel.
2.2 Nombre de diffusions :
Le CONTRACTANT cède à LA CHAINE les droits de diffusion du Programme pour 1 (une) multidiffusion par épisode, plus 1(une) multidiffusion supplémentaire par épisode, résultant de l’exercice par LA CHAINE de son droit d’option, soit un total de 2 (deux) multidiffusions, chacune consistant en un maximum de 8 (huit) passages sur 2 (deux) mois.
ARTICLE 3 - TERRITOIRES POUR LESQUELS LA DIFFUSION EST AUTORISEE :
3.1 : Territoires Exclusifs : France (DOM TOM inclus), Andorre, Monaco. Les droits s’entendent comme exclusifs sur ces territoires, et ce à l’encontre de l’ensemble des chaînes diffusées en France, quel que soit leur mode de diffusion (hertzien, câble, satellite, cryptage, etc…)
