Source text - Arabic 1 -
Translation - Spanish 1.
English to Spanish: Indemnification
Source text - English 6. Indemnification.
If XYZ, in its own name or in the name of its physical or legal Related Persons, is presented with a third-party judicial claim as a consequence of actions or omissions arising from the performance of the project, which were directly caused by the CUSTOMERS, without XYZ having been able to avoid the actions or omissions, the CUSTOMERS commit to indemnify (on an after-tax basis), and therefore to hold XYZ and its physical or legal Related Persons harmless from the amounts that they would have had to pay to these third parties as a consequence of a judicial decision or arbitration agreement previously accepted by the CUSTOMERS.
For this purpose, it will be necessary to have complied with the following points:
a) That the third-party judicial action or claim not be contemporaneous with or later than another similar one filed by the same third parties, or their shareholding group, against the CUSTOMERS for the same actions or omissions, and that the CUSTOMERS have been indemnified for or paid the corresponding indemnifications,
b) That as promptly as reasonably possible after learning of any actual or potential claim within the scope of the established indemnification, XYZ will notify the CUSTOMERS of the claim in question (indicating the nature and the claims made) and thereafter will keep the CUSTOMERS regularly and reasonably informed of the progress of the claim, the latter having the right to assume the management and defense of the claim.
For purposes of this agreement, a "Related Person" (Affiliate) is a person that controls, is controlled or is under common control of that person, and the respective directors, managers, employees and agents of each of them.
Translation - Spanish 6.
