Source text - English 5. CHARGORS' REPRESENTATIONS AND UNDERTAKINGS
5.1 Representations
Each Chargor makes the following representations and warranties to the Chargee and acknowledges that the Chargee has become party to this Agreement in reliance on these representations and warranties:
(a) Non-conflict with other obligations
The entry into and performance by it of, and the transactions contemplated by, this Agreement (including any transfer of the Shares on enforcement of the Security) do not and shall not result in the existence of, or oblige it to create, any security over the Shares other than as permitted under Clause 23.11 (Negative pledge) of the International Override Agreement.
(b) Ownership of Shares
It, together with the other Chargor, is the sole owner of the Charged Portfolio free and clear of all security interests save as created by this Agreement and has not sold or disposed of or granted any options or pre-emption rights in respect of any of its right, title and interest, in the Charged Portfolio (other than as permitted under the Finance Documents) and all of the Shares are validly issued, fully paid and are not subject to any options to purchase, pre-emption rights or similar rights or other restrictions upon disposal which would operate to restrict in any way their disposal by the Chargee should it come to enforce its security over the Charged Portfolio contained in this Agreement other than any such restrictions that exist as a matter of non-derogable law or that are permitted pursuant to the terms of the International Override Agreement.
(c) Authorisations
All Authorisations required or desirable to make this Agreement admissible in evidence in the jurisdiction of incorporation of each company whose Shares are charged under this Agreement have been obtained or effected and are in full force and effect.

5.1 Հայտարարություններ
Գրավատուներից յուրաքանչյուրը հայտարարում է և երաշխավորում Գրավառուին և ընդունում, որ Գրավառուն, հանդիսանալով սույն Համաձայնագրի կողմը, հիմնվում է հետևյալ հայտարարությունների և երաշխիքների վրա`
(ա)Այլ պարտավորություններով ծանրաբեռնվածության բացառումը
Սույն Համաձայնագիրի կնքումը և դրա կատարումը, ինչպես նաև սույն Համաձայնագրով հնարավոր գործարքների կատարումը (ներառյալ Բաժնետոմսերի օտարումը ցանկացած եղանակով` պարտավորությունների ապահովման կատարման համար) չի հանգեցնում և չի հանգեցնի կամ չի պարտադրի Բաժնետոմսերի միջոցով վարկի ապահովումը, բացառությամբ Հիմնական պարտքի մարման ժամկետի հետաձգման միջազգային համաձայնագրի 23.11 կետում նշված դեպքերի (Բացասական պարտավորություն):
(բ)Բաժնետոմսերի պատկանելիությունը
Նա, մյուս Գրավատուի հետ միասին, հանդիսանում է Թղթապանակի միակ սեփականատերը, որը այն ծանրաբեռնված չէ երրորդ անձանց նկատմամբ պարտավորություններով, վաճառված չէ և չի գտնվում այլ անձանց տիրապետման ներքո, դրանց նկատմամբ գույքային իրավունքները, սեփականության իրավունքը և տոկոսները չեն հանդիսանում այլ իրավունքների կամ գնման նախապատվության իրավունքի առարկա (բացառությամբ սույն Ֆինանսական փաստաթղթերով սահմանված դեպքերի), ինչպես նաև, որ բոլոր Բաժնետոմսերը թողարկված են պատշաճ կերպով, ամբողջությամբ վճարված են և ենթակա չեն վաճառքի, նախապատվության իրավունքով գնման կամ չեն հանդիսանում նմանատիպ իրավունքների կամ սահմանափակումների առարկա, որոնց կիրառումը որևէ կերպ կհանգեցնի Գրավառուի տիրապետման իրավունքի սահմանափակմանը սույն Համաձայնագրով սահմանված Թղթապանակի նկատմամբ, բացառությամբ նմանատիպ սահմանափակումների, որոնք գոյություն ունեն, չսահմանափակվող օրենքի հետևանքով, նախատեսված Հիմնական պարտքի մարման ժամկետի հետաձգման միջազգային համաձայնագրում:
(գ)Լիազորություններ
Սույն Համաձայնագրի ուժի մեջ մտնելու համար յուրաքանչյուր ընկերության, որի Բաժնետոմսերը գրավադրվում են սույն Համաձայնագրով, գրանցման համար բոլոր պահանջվող կամ ցանկալի Լիազորությունները ստացվել են և գործում են ամբողջ ծավալով:
