An engine simulator is utilized for training purposes. The simulator comprises a fully functioning control system and pressure modules, pumps and variable drive motors to simulate a engine faults. A programmable logic controller and other related components simulate engine activities and operational sequences that interface with controls system. A trainer is able to "bug" the system physically, electronically or via programming, thus allowing applied on the job training during the course of instruction without any service interruption to real equipment.

On this ……………, corresponding to …./…../ 2015, this Agreement has been made and entered into by and between:

(Hereinafter referred to as the "First Party")
Second: (Hereinafter referred to as the "Second Party ")
Both of the “ First Party" and “Second Party” hereinafter are jointly referred to as the “Parties” and severally as the “Party”
Permeable
- On -------- the Collection Services Agreement with Burgan Bank has been entered into between the parties hereto. Under this agreement, the First Party assigned to the second party the task of collecting the debts payable to it by its debtors. This Agreement is still valid and enforceable till date along with its entire provisions. Since the mutual assent of the parties hereto has met to amend Clauses no. (5.1), (5.2 First) and (5.2 Second- A) as stipulated herein.
Now therefore, the two parties, after having acknowledged their legal competency of contracting and acting, have agreed as follows:
Clause (1)
The parties agree to consider this Appendix and its above Preamble as an integral part of the Legal Services Agreement concluded between them on 18/11/2007 and complementary thereto.
Clause (2)
The parties agree to amend Clause (5.1) to state the allocation of a fixed amount of (KD 2000) (only two thousand Kuwaiti dinars) monthly, instead of (KD 1000) (only one thousand Kuwaiti dinars) monthly.
Clause (3)
The parties agree to amend Clause (5.2—First) so that the collection fee percentage shall become (5%) instead of (3%) of the total amounts actually collected from the debtor either as a full settlement of his/her entire indebtedness or any part thereof, and whether achieved during the amicable collection period and the preliminary procedures or after taking the execution procedures and legal collection procedures against the debtor. However, TLF shall not be entitled to any fees against the amounts regularly transferred to the Bank prior to transferring the file to TLF.
Clause (4)
The parties agree to amend Clause (5.2) (Paragraph 2/A) so that the collection percentage shall become (2%) Instead of (1%) from the total rescheduled amount, provided that the debtor, not the Bank, be the party committed to pay such fees to TLF, moreover, the rescheduling conditions agreed with the debtor should state such commitment .
Clause (5)
The parties shall continue with enforcing the clauses and provisions of the Collection Services Agreement dated 18/11/2007 in regard to any provisions not amended hereby.
Clause (6)
This Agreement has been made in duplicate, of which each party has received a copy thereof to act accordingly whenever necessary.

تمهيد
بتاريخ ---------- ابرم اتفاقية خدمات تحصيل (للبنك) بين طرفي هذا الاتفاق بمقتضاه اسند الطرف الأول للطرف الثاني مهمة تحصيل ديونه لدى عملاء البنك وهذه الاتفاقية سارية ونافذة حتى ألان بكافة بنودها ونظراً لتلاقي إرادة الطرفين على تعديل البنود أرقام (5ـ1) ، (5ـ2) (أولا) (5ـ2) (ثانياً /أ) على النحو المبين بهذا الملحق .
فقد اتفق الطرفان بعد أن أقرا بأهليتهما القانونية للتعاقد والتصرف على ما يلي :
البند الاول
اتفق الطرفان على اعتبار هذا الملحق وتمهيده السابق جزء لا يتجزأ من عقد الخدمات القانونية المبرم بينهما والمؤرخ في 18/11/2007 ومكملاً له
البند الثاني
اتفق الطرفان على تعديـل البنـد رقم (5-1) ليكـون تخصيص مبلغ ثابت قدره (2000 د.ك) (ألفين دينار كويتي شهرياً) بدلا من (1000 د.ك) (ألف دينار كويتي) شهرياً .
البند الثالث
اتفق الطرفان تعديل البند رقم (5-2) أولا لتكون نسبة التحصيل (5%) بدلاً من (3%) من إجمالي المبالغ المحصلة فعلياً من العميل سواء أكان ذلك سدادً لكامل مبلغ مديونية العميل أو جزء منها وسواء أكان ذلك في فترة إجراءات التحصيل الودي واتخاذ الإجراءات التمهيدية أم بعد اتخاذ إجراءات التنفيذ وإجراءات المطالبة القضائية ضد العميل ولن تستحق المجموعة آية أتعاب عن المبالغ التي كانت تورد للبنك بانتظام قبل تحويل ملف العميل للمجموعة .
البند الرابع
ـ اتفق الطرفان على تعديل البند (5-2) (الفقرة الثانية /أ) لتكون النسبة (2%) بدلاً من (1%) من إجمالي المبلغ الذي وقعت عليه الجدولة على أن يكون العميل وليس البنك هو الملزم بأداء تلك الأتعاب للمجموعة ويجب أن تتضمن شروط الجدولة مع العميل ما يفيد ذلك .
البند الخامس
ـيستمر الطرفان في تنفيذ بنود وأحكام اتفاقية خدمات التحصيل (البنك) المؤرخة 18/11/2007 وذلك فيما لم يُنص عليه بهذا الملحق من تعديل .
البند السادس
تحرر هذا العقد من نسختين بيد كل طرف نسخة للعمل بها عند اللزوم .

Both parties hereto declare that they are legally competent to inter this contract and mutually agree on the following:
Preamble
The First Party is a private hospital includes several departments, clinics and provides medical treatment and all required medical services to the public. The Second Party is licensed to practice the medical profession at the State of Kuwait, as his specialization is (General Surgery)
Both parties have agreed on participation in operation and managing a medical clinic at the First Party’ headquarter according to terms and conditions agreed upon herein. Therefore, they agreed on concluding this agreement after they have declared that they are legally competent to inter this contract and act with a will free from defects as follows:
Clause 1 (Preamble and Contract’s Appendixes)
The abovementioned preamble and documents attached to a statement signed by both parties hereto are considered an integral part of this contract:
1- Plan or sketch for the clinic which the Second Party will operate and manage according to this agreement.
2- List of equipment, devices and furniture indicting description, value and condition thereof upon receipt.
Clause 2 (First Party’s Obligations)
The First party shall provide a medical clinic to the Second Party and its specification (----------------) at the headquarter thereof located at Sabah Al Salem – Block 1- Mohammad Tahos Nasser Ibn Tahos, moreover it shall provide the following:
1- All medical equipment, devices and tool required for the clinic’s operation and management.
2- Small operation room should the Second party need hereof.
3- Furniture, tools and devices are not considered part of the general preparation for clinics in the hospital.
4- Nursing staff of (2) persons, receptionist/ clinic coordinator of (1) person, and the First party is prohibited to force them on working at works or working hours otherwise resected to the clinic. The Second party is competent to approve the staff’s vacation applications.
5- All supplies required for surgical operations, such as (cotton, gauze, gloves, syringes, etc.)
6- The main facility including managing hard and soft facilities.
7- Infrastructure of Information Technology, including maintenance, updates and security.
8- Vital medical services
9- Security Service in the hospital
10- Revenue cycle management services including negotiation about insurance, presenting and re-insurance
11- Accounting service and handing over a copy of statement of account regularly to the Second Party, whenever the second party requests the same.
12- Managing human resources and handing over a copy of any file of any patient to the clinic whenever the second party requests the same.
13- Purchases.
14- The Pharmacy.
Periodical maintenance of all devices, tools and equipment of the clinic either medical or non- medical supplies.
Clause 3 (Second Party’s Obligations)
The Second party shall operate and manage the clinic in his capacity as a physician specialized in general surgery, where whose task included direct and personal supervision on patients’ treatment.
2- The Second Party shall keep the devices, tools and equipment include in the clinic as well as the infrastructure.
3- The Second Party shall pay to the First Party salaries of 2 persons of nursing staff and 1 person of (receptionist / clinic coordinator) which the First party shall provide to the Second Party throughout the term of this agreement and such amount shall be deducted from Second Party’s share in revenues.
4- The Second Party shall keep secrecy of all information he received or came to his knowledge during operating, managing the clinic or he reached while using services to supporting departments and he undertakes not to disclose any of them.
Clause 4 (Revenues and Financial Rights)
Both parties agreed to distribute total revenues monthly without deducting the costs, which the second shall pay and to be deducted from his percentage in revenues (Clause 2- Second Party’s obligations – Paragraph 5) as follows:
1- The First Party is entitled to receive 30% from the total revenues.
2- The Second Party is entitled to receive 70% from the total revenues.
3- The Second Party is entitled to receive 70% from external services revenues (Consultations and procedures).
4- The Second Party is entitled to receive 70% from Surgical cases / inpatients/ one day cases).
5- The Second Party is entitled to receive 20% from the total revenues of:
• Laboratory and radiological tests of its all types.
• physical therapy clinic.
• Lymphatic system clinic.

وقد أقر الطرفان بأهليتهما القانونية للتصرف والتعاقد واتفقا فيما بينهم على الآتي:
التمهيـــــد
الطرف الأول هو مستشفى أهلية تضم عدة أقسام وعيادات وتقدم العلاج الطبي وكافة الخدمات الطبية اللازمة للجمهور، والطرف الثاني طبيب مرخص له بمزاولة مهنة الطب بدولة الكويت ومتخصص في مجال (الجراحة العامة).
وحيث تلاقت إدارة الطرفان على المشاركة في تشغيل وإدارة عيادة طبية بمقر الطرف الأول وفق الشروط المتفق عليها في هذه الاتفاقية، ومن ثم فقد انصرفت إرادتهما إلى تحرير هذه الاتفاقية بعد أن أقرا بأهليتهما القانونية للتعاقد والتصرف بإرادة خالية من العيوب وفقاً للآتي:
البند الأول (التمهيد وملحقات العقد):
يعتبر التمهيد السابق والمستندات المرفقة بكشف موقع من الطرفين هم جزء لا يتجزأ من هذا الاتفاق:
1- مخطط أو كروكي العيادة التي تباشر الطرف الثاني تشغيلها وإدارتها بموجب هذا الاتفاق.
2- كشف المعدات والأجهزة والأثاث، شاملة بيانها وصفاً وقيمة، وبيان حالتها عند الاستلام.
البند الثاني (إلتزامات الطرف الأول):
يلتزم الطرف الأول بتوفير عيادة طبية للطرف الثاني ومواصفاتها (ــــــــــــــ ــ) بمقرها الكائن بصباح السالم – قطعه 1 – شارع محمد طاحوس ناصر بن طاحوس، كما تلتزم بتوفير الآتي:
1- كافة الأجهزة والمعدات والأدوات الطبية اللازمة لتشغيل وإدارة العيادة.
2- غرفة العمليات الصغرى متى كانت الطرف الثاني في حاجة إليها.
3- الأثاث والأدوات والأجهزة التي لا تعد جزءً من الإعداد العام للعيادات في المستشفى.
4- طاقم تمريض عدد (2)، موظف استقبال/ منسق عيادة عدد (1)، ويحظر على الطرف الأول تشغيلهم في غير الأعمال أو المواعيد الخاصة بالعيادة، وتكون الطرف الثاني المختصة بالموافقة على طلبات الإجازات الخاصة بهم.
5- كافة المستلزمات اللازمة للعمليات الجراحية ومنها على سبيل المثال (قطن، شاش، جوانتيات، حقن ...).
6- المنشأة الأساسية بما في ذلك إدارة المرافق الصلبة واللينة.
7- البنية التحتية لتكنولوجيا المعلومات بما في ذلك الصيانة والتحديثات والأمن.
8- الخدمات الطبية الحيوية.
9- خدمة الأمن بالمستشفى.
10- خدمة إدارة دورة الإيرادات المركزية بما في ذلك التفاوض على أسعار التأمين والتقديم وإعادة التأمين.
11- خدمة المحاسبة، مع تسليم نسخة من كشف حسابي بشكل دوري للطرف الثاني متى طلب ذلك.
12- إدارة الموارد البشرية، مع تسليم نسخة من ملف أي مراجع (مريض) للعيادة متى طلبت الطرف الثاني ذلك.
13- المشتريات.
14- الصيدلية.
الصيانة الدورية المناسبة لجميع الأجهزة والأدوات والمعدات الخاصة بالعيادة طبية كانت أو غير طبية
البند الثالث (التزامات الطرف الثاني):
1- تلتزم الطرف الثاني بتشغيل وإدارة العيادة بصفتها طبيب متخصص في الجراحة العامة، وتشمل مهامها الإشراف المباشر والشخصي الفني على علاج المراجعين.
2- تلتزم الطرف الثاني بالمحافظة على الأجهزة والمعدات والأدوات الموجودة بالعيادة، وكذلك البنية التحتية.
3- تلتزم الطرف الثاني بأن تؤدي للطرف الأول قيمة الرواتب ل (عدد (2) طاقم تمريض، وعدد (1) موظف استقبال/ منسق عيادة) التي توفرهم الطرف الأول للطرف الثاني، وذلك طوال سريان هذه الاتفاقية خصماً من نصيب الطرف الثاني من الإيرادات.
4- تلتزم الطرف الثاني بالمحافظة على سرية المعلومات التي تلقتها أو اتصلت إليها من خلال تشغيل وإدارة العيادة أو اتصلت إليها بحكم استخدامها للخدمات والأقسام المساندة، مع تعهدها بعدم إفشائها.
البند الرابع (الإيرادات والحقوق المالية):
اتفق الطرفان على توزيع إجمالي الإيرادات بشكل شهري بدون خصم التكاليف، والتي يتحملها الطرف الأول خصماً من نسبته في الإيرادات (البند الثاني (إلتزامات الطرف الأول – فقرة 5) وفقاً للآتي:
1- تستحق الطرف الأول نسبة 30% من إجمالي الإيرادات.
2- تستحق الطرف الثاني نسبة 70% من إجمالي الإيرادات.
3- تستحق الطرف الثاني 70% من إيرادات الخدمات الخارجية (الاستشارات والإجراءات).
4- تستحق الطرف الثاني نسبة 70% بالنسبة للحالات الجراحية/ المرضى الداخليين / حالات اليوم الواحد.
5- تستحق الطرف الثاني نسبة 20% من إجمالي إيرادات:
• التحاليل المخبرية والإشعاعية بكافة أنواعها.
• عيادة العلاج الطبيعي.
• عيادة الجهاز الليمفاوي.
