General Terms and Conditions
Clause 1
Definitions and Interpretation
In the SFA the following definitions apply:
“Business Day” means Monday to Friday excluding public or bank holidays If the day on or by which anything is to be performed is not a Business Day, it must be done on or by the next Business Day.
“Business Hours” means the 0800 to 1800 in a Business Day or as specified elsewhere in a Service Schedule.
“Charges” means the fees payable for Service under the SFA and set out in the relevant Order Form or Service Schedule.
“Confidential Information” means all documentation, technical information, software, business information or other materials of a confidential nature and/or that are disclosed in confidence by either Party to the other during the term of the SFA.
Clause 12 Limitation of Liability
12.1 Neither Party excludes or restricts in any way its liability for death or personal injury resulting from its own negligence or the negligence of its employees or agents acting in the course of their employment or agency or for fraudulent misrepresentation.
12.2 Subject to Clause 12.1, neither Party shall be liable to the other or to any third party, whether in contract, tort, under statute or otherwise (including in each case negligence) for any of the following types of loss or damage arising under or in relation to the SFA or any part of it (including without limitation any Service Schedule, Order or the Cover Page):
(a) any loss of profits, business contracts, anticipated savings, goodwill, or revenue; and/or
(b) any loss or corruption or destruction of data; and/or
(c) any special, indirect or consequential loss or damage whatsoever; and/or
(d) any loss arising from the transmission of viruses
whether or not that Party was advised in advance of the possibility of such loss or damage.

Определения и толкование
В Рамочном соглашении об услугах в сфере информационной технологии (SFA) применяются следующие определения:
«Рабочий день» означает дни с понедельника по пятницу, за исключением государственных праздничных дней или банковских выходных. Если день, на который или до которого что-либо должно быть выполнено, не является Рабочим днём, это должно быть выполнено в следующий Рабочий день или до следующего Рабочего дня.
«Рабочее время» означает время с 08:00 до 18:00 в Рабочий день или иное время, указанное в Графике оказания услуг.
«Платежи» означает платежи, взимаемые за Услуги в рамках SFA, и указанные в соответствующей Форме заказа или в Графике оказания услуг.
«Конфиденциальная информация» означает всю документацию, техническую информацию, программное обеспечение, бизнес-информацию и материалы конфиденциального характера и/или материалы, предоставленные в конфиденциальном порядке любой из Сторон другой Стороне в течение срока действия SFA.
Пункт 12 Ограничение ответственности
12.1 Ни одна из сторон не исключает и не ограничивает никоим образом свою ответственность за смерть или телесные повреждения в результате собственной неосторожности или небрежности её сотрудников или агентов, действовавших в рамках своих служебных обязанностей или по поручению, или же вследствие намеренного введения в заблуждение.
12.2 В соответствии с пунктом 12.1, ни одна из Сторон не несёт ответственности перед другой стороной или любым третьим лицом, будь то в силу договора, деликта, по закону или иным образом (включая, в каждом случае, халатность) за любые из следующих потерь или убытков, возникших в рамках или в связи со SFA или любой его частью (включая, без ограничения, любой График оказания услуг, Заказ или Титульную страницу):
(а) любую потерю прибыли, коммерческих контрактов, ожидаемой экономии, деловой репутации или доходов, и/или
(b) любую потерю или повреждение либо уничтожение данных, и/или
(с) любые особые, непрямые или косвенные потери или убытки любого рода, и/или
(d) любые убытки, возникающие из-за передачи вирусов,
вне зависимости от того, была ли такая Сторона заранее уведомлена о возможности таких потерь или убытков.
