TO THE INTERNATIONAL FRANCHISE AGREEMENT
THIS ADDENDUM TO THE INTERNATIONAL FRANCHISE AGREEMENT (the "Addendum") is signed on this ___ day of ________, 2012 (the "Signing Date")
BY AND BETWEEN:
XXX, a limited liability company organized and existing under the laws of the Russian Federation, having its registered office at _ (the "Franchisor"), and
LIMITED LIABILITY COMPANY YYY, a company organized under the laws of the Republic of Azerbaijan, whose registered address is at _ (the "Franchisee").
The Franchisor and the Franchisee may be also collectively referred to as the "Parties" and individually as a "Party".
WHEREAS:
(A) The Franchisor and the Franchisee have entered into an International Franchise Agreement dated __ June 2011 (the "IFA") pursuant to which the Franchisor has granted the Franchisee non-exclusive rights to use, inter alia, trademark registrations Nos. _ (the "Trademarks") in relation to the following two (2) Z outlets:
(B) The Parties are willing to amend the IFA by changing the conditions on which the Franchisor has granted to the Franchisee the rights in relation to Outlets under the IFA;
(C) Under Section 23.6 of the IFA the terms and conditions of the IFA may be changed only in writing signed by both Parties;
NOW, THEREFORE, the Parties have agreed as follows:

XXX, являющейся обществом с ограниченной ответственностью, которое образовано и осуществляет свою деятельность в соответствии с законами Российской Федерации, и зарегистрированной по адресу ___ (далее -«Правообладатель»), и
ОБЩЕСТВОМ С ОГРАНИЧЕННОЙ ОТВЕТСТВЕННОСТЬЮ YYY, образованном в соответствии с законами Азербайджанской Республики и зарегистрированном по адресу ___ (далее - «Пользователь»).
