Source text - English 1. Subject of the agreement:
1. “EKP” will act as the exclusive distributor for “TDN” on the Iranian market within the region of Iran (hereinafter referred to as ‘The Territory’) on an exclusive basis for the period mentioned in the article 2 of this agreement. “EKP” is not allowed to realize sales transactions outside “The Territory” without the prior written consent of TDN.
2. During the duration of this agreement, “TDN” will not directly operate in The Territory unless “EKP” has requested or permitted in writing “TDN” to do so on.
3. The products and their delivery times, terms and conditions for “EKP” are listed in Attachment No.1, to this agreement. This attachment forms an integral part of this agreement. Changes in products, delivery times, terms and conditions, prices, discounts and payment conditions are only valid through and after both parties agreement in writing to amend Attachment No.1.
These amendments will be numbered and dated and will reflect the date from which the amended Attachment No.1, will be effective.

1. "ЭКП" будет действовать в качестве исключительного дистрибьютора "ТДН" на рынке Ирана, на всей территории Ирана (именуемая в дальнейшем как "Регион"), на исключительных основаниях, на период, указанный в Главе 2 данного Соглашения. "ЭКП" не имеет права на реализацию за пределами "Региона" без предварительного письменного согласия "ТДН".
2. На протяжении действия данного соглашения, "ТДН" не имеет права проводить сделки напрямую в Регионе, если таковое не потребовано или разрешено компанией "ЭКП" в письменном виде.
3. Продукция и сроки ее доставки, порядки и условия для "ЭКП" указаны в Приложении №1 к данному Соглашению. Данное приложение является неотъемлемой частью данного соглашения. Изменения в продукции, сроках доставки, порядках и условиях, ценах и условиях оплаты действительны только в случае и после того, когда обе стороны подпишут соглашение о внесении изменений в Приложение №1.
Данные изменения будут пронумерованы и датированы, отражать дату, с момента которого измененное Приложение №1 будет действительно.
