Unless explicitly specified otherwise, each inquiry contained herein constitutes a request that the Company provide information by year, for each year in the historical periods 2009 through 2014 (“Historic”), and for the first quarter of 2015, as well as any available estimated or projected data for the remainder of 2015 and through 2019 (“Projected”).
We ask that all information requested below be made available to Karakoram as soon as possible and in electronic form, but we understand that some information may be best conveyed orally. Also, not all due diligence items we request necessarily need to exist.
We understand that some of the requested information may be available and provided to us immediately, while other information will require preparation. (Again, we also understand that for some requests the Company will have no applicable information.) Please send us the requested information as soon as it is available, if it is available. Some information requests intentionally overlap with others.
PURPOSE
Certain issues or lapses identified during our internal due diligence review may at first seem to be material, but may not be so, just as certain issues that the Company deems immaterial might not actually be so.
If we jointly identify material issues prior to allowing external due diligence investigations, we will have time to resolve the problem or prepare an appropriate explanation for the issue.
Being thoroughly prepared for an external due diligence examination is critical to: (i) creating confidence in the depth and quality the Company’s professional staff and management team; (ii) maintaining an efficient, focused process to speed closure of the Initial Fundings; and (iii) developing as much leverage as possible to negotiate favorable terms. So, although we cannot guarantee results, we generally find that those parties that are the best prepared when negotiating a transaction invariably get the best terms with the most compatible partners.

Pokud není výslovně uvedeno jinak, je každá otázka tohoto dokumentu žádostí o to, aby Společnost poskytla informace za každý rok odděleně, a to od roku 2009 až po rok 2014 (“Minulá data”), včetně prvního čtvrtletí roku 2015. Stejně tak je třeba poskytnout jakákoli dostupná odhadovaná či předpokládaná data pro zbytek roku 2015, a to až do roku 2019 (“Plánovaná data”).
Žádáme, aby byly veškeré níže požadované informace dodány společnosti......... co nejdříve, a to v elekronické podobě. Chápeme však, že nám některé informace sdělíte raději ústně. Ne všechny námi požadované informace pro prověrku Due Diligence musí nutně existovat.
Chápeme, že některé z nich jsou dostupné a mohou nám být poskytnuty okamžitě, zatímco jiné vyžadují přípravu. (Opět zdůrazňujeme, že na některé otázky nemusí mít Společnost relevantní odpověď). Zašlete nám, prosím, požadované informace, akmile budou dostupné, pokud tomu tak bude. Některé žádosti o informace se záměrně překrývají s jinými.
ÚČEL
Určité problémy či pochybení, která mohou být v průběhu naší interní prověrky odhaleny, mohou zpočátku vypadat jako závažné, ale ve skutečnosti tomu tak nemusí být . Stejně tak některé problémy, které Společnost nepovažuje za důležité, jimi vlastně mohou být.
Pokud společnými silami rozpoznáme závažné problémy před vlastní externí prověrkou, budeme mít čas je vyřešit a připravit jejich vhodné vysvětlení.
Být připraven na externí odbornou prověrku je důležité pro: (i) vytvoření hluboké důvěry v kvalitu profesionálního týmu zaměstnanců a vedení Společnosti, (ii) zachování efektivního a na cíl zaměřeného průběhu, který urychlí dohodu o počátečním financování, a pro (iii) vyjednání co možná nejvyšší půjčky za výhodných podmínek. Přestože výsledky zaručit nedokážeme, všeobecně zjišťujeme, že ty strany, které jsou nejlépe připraveny pro vyjednání transakce, získávají nejlepší podmínky s těmi nejslučitelnějšími partnery.
