What is the U.S. Foreign Corrupt Practices Act?
The U.S. Foreign Corrupt Practices Act of 1977 (will be referred to as the FCPA going forward) generally prohibits U.S. companies and citizens, foreign companies listed on a U.S. stock exchange, or any person acting while in the United States, from corruptly paying or offering to pay, directly or indirectly, money or anything of value to a foreign official to obtain or retain business.
The FCPA applies to U.S. companies operating anywhere in the world.
Regardless of your nationality or country of business, all employees, representatives, and agents of UPS – including any UPS subsidiaries – must abide by the FCPA rules and all other applicable anti-bribery and anti-corruption statutes throughout the world.

How Does the FCPA Impact You?
Anti-corruption laws and UPS policies prohibit UPS, a U. S. company, or any of its world-wide subsidiaries or affiliates, from making payments to a foreign government official (or even offering to make payments) in order to obtain or retain an improper business benefit.
These laws and regulations also require UPS to abide by set standards for record keeping and internal accounting controls.
Violations of these requirements can result in significant fines and penalties, as well as criminal, civil and administrative sanctions for a company, its officers, directors, employees, agents or representatives.

As a Third Party Representative of UPS, you or your staff cannot offer, promise, provide or receive any gift, meal or entertainment intended to secure or retain an improper advantage, whether involving a government official or a non-government official.
In addition, UPS cannot direct or allow our agents or other third-party representatives to make improper payments or engage in prohibited conduct on UPS’s behalf.
Some examples of prohibited conduct include giving items such as cigarette money or lunch money to government workers or officials.
If you have a legitimate reason to provide gifts, meals, or entertainment to government officials on UPS’s behalf, you must contact your UPS Representative to obtain approval before doing so.
Who is a Government Official?
Since we have mentioned “government officials” quite a few times in this presentation, let me explain just who a government official is.
In many situations it’s obvious.
For example:
Customs officials regarding import or export of goods
Employees who renew government-issued licenses and permits
Tax officials who handle payments or refunds
Police or military personnel for security or traffic escort
Officials who handle anti-corruption or judicial actions
However, some may not be as obvious.
The following list shows some examples of less obvious government officials:
Employees of government-owned airlines
Employees of government-owned corporations that are UPS customers
Personnel working for government-owned warehouses, container yards, airport authorities and trucking companies
Utility company personnel (e.g. power, phone, water)
Employees of government-owned financial institutions
National, regional, state, provincial and local government officials
Overtime, Staffing, Travel, Meals, Lodging & Related Expenses
Sometimes, UPS will permit overtime, staffing, travel, meals, lodging and related expensed for government agencies or employees to ensure sufficient staffing for a project.
In countries where a process has been established, we follow all relevant local laws governing that process.
Where no process has been established, we will pay for overtime, staffing, travel, meals lodging or similar staffing needs only if strict guidelines are met.
UPS does not expect that its third-party representatives will have to make any of the payments mentioned above on UPS’s behalf.
If the situation does occur, you must contact your UPS Representative immediately to secure express written approval prior to making such payments.
Keep in mind that as a representative of UPS, you should not offer, promise or pay such expenses if it is intended to give UPS an improper business advantage.
