Source text - English The subject matter of this Protocol is to set the terms and conditions of the irrevocable and unconditional release, discharge, dismissal and waiver by the Plaintiffs of the Defendants, X (the “Company”), each of the Company’s owners, shareholders, predecessors, successors, assigns, attorneys, agents, directors, officers, employees, representatives and affiliates, and all persons acting by, through, under or in concert with any of the foregoing persons (collectively “Releasees”), from any and all legal rights, indemnification and monetary claims, immaterial rights, collateral and further damages, accrued interest, default interest, loss of profits and earnings, any and all charges, complaints, claims, liabilities, obligations, promises, agreements, controversies, damages, actions, causes of action, suits, rights, demands, costs, losses, debts and expenses (including attorneys’ fees and costs actually incurred) of any nature whatsoever, known or unknown (“Claim” or “Claims”), which the Plaintiffs now have, own, or hold or which the Plaintiffs at any time previously had, owned or held against each of the Defendants, the Company and the other Releasees, including without limitation Claims related to (i) shareholders’ rights, including but not limited to (A) any and all rights of refusal and pre-emption, (B) other rights or obligations arising from that certain Shareholders Agreement, dated as of [___________], 2010 or that certain Subscription Agreement dated as of 23 July 2010, (C) that certain Share Purchase Agreement by and between Y, Z and W dated as of 23 July 2010, (D) that certain Share Purchase Agreement by and between Q and W dated as of 23 July 2010, (E) that certain Subscription agreement dated as of 24 November 2010, and (F) that certain Share Purchase Agreement by and among Y, Z, E, Q, Ü, S, AY, T and W dated as of 24 November 2010 ((B) through (F) collectively, the “Transaction Documents”); (ii) all other rights of objection, rights of litigation and right of appeal arising from any transfer of the Company shares; (iii) all Claims related to the acquisition, holding or issuance of or any right, title or interest in or to any equity security or ownership interest of any kind in the Company (iv) irrevocable and unconditional consent to the amendment of the Transaction Documents by the Defendants, S, Ü and THFS to reflect the understanding under sub-clause (i) hereabove and (v) any and all lawsuits, including without limitation (a) the lawsuit file numbered 2011/84 filed at the Istanbul 6th Commercial Court of First Instance filed by SB against E; (b) the lawsuit file numbered 2011/77 filed at the Istanbul 1st Commercial Court of First Instance filed by EA against E; and (c) the lawsuit file numbered 2011/78 filed at the Istanbul 12nd Commercial Court of First Instance filed by YK against Q (the “Lawsuits”).

The Republic of Turkey was confirmed as a candidate country for accession to the EU at the Helsinki Summit in 1999. Turkey is currently in the process of preparing itself for accession. This involves substantial efforts by Turkey in terms of the harmonization of the legislation and also in the creation of new administrative structures and/or the strengthening of existing structures in order to properly implement the legislation in place.
The Government of the Republic of Turkey has committed itself to implement fundamental reforms to reduce economic vulnerability and achieve high and stable growth aiming at reducing the risk of re-emergence of crises and helping Turkey address the many economic challenges of getting ready for EU membership. In this regard, it is foreseen to support the restructuring of Turkish rail sector.
The most urgent needs of railways – in many ways efficient and friendly to the environment mode of transport – compel such comprehensive TCDD restructuring departments, which would enable railways to compete effectively within the EU in a near future. The overall strategy of the Turkish Government is threefold: (i) to significantly reduce the current fiscal burden of TCDD on public finance, (ii) increase the competitiveness of the Turkish economy by reducing the logistic costs associated with the inefficiencies of the railway sub-sectors; and (iii) to contribute to Turkey’s accession to the European Union.

Bu bakımdan, Türk demiryolu sektörünün yeniden yapılanmasının desteklenmesi öngörülmektedir.
Demiryollarının en acil ihtiyaçları – birçok bakımdan etkili ve çevre dostu ulaşım şekli – demiryollarının yakın gelecekte Avrupa Birliği ile etkili bir şekilde rekabet etmesine olanak verecek, bu tür kapsamlı TCDD yeniden yapılanma departmanlarını zorunlu kılmaktadır. Türk Hükümeti’nin genel stratejisi üç bölümden oluşmaktadır: (i) TCDD’nin kamu maliyesi üzerindeki mevcut mali yükünü önemli ölçüde azaltmak, (ii) demiryolu alt sektörlerinin etkisizlikleri ile ilgili lojistik maliyetleri azaltarak Türk ekonomisinin rekabet gücünü arttırmak, ve (iii) Türkiye’nin Avrupa Birliği’ne girmesine katkıda bulunmak.
