English to French: IMPORTER MARKETING AGREEMENT XXXX XXXX
Source text - English Conditions:
2) A first purchase order is required by a signed agreement from both parties before selling the XXXXXXXXX conversion kits.
3) In case of an exclusive marketing agreement, and only in that case, on any territory, Importer shall maintain minimum monthly order volume of___________ units, to define depending on the territory.This amount represents the sales basis and the minimum of invoicing.
4) Units for 4, 6 and 8 cylinders are available in the stock; those for 2, 10 and 12 cylinders request a previous order.
In consideration of the covenants and agreements herein contained the parties agree as follows:
1. DEFINITIONS
- (a) The products as described in Schedule « A » are hereafter referred to as « Products »
- (b) The region where the Importer is located and/or the identified exclusivity region is herein referred to as the « Territory ».
2. OBLIGATIONS OF THE IMPORTER
(b) Obligations of the Importer. Importer hereby agrees to perform the following duties :
a. Importer shall diligently promote and pursue sales of the XXXXXXXX Products in the Territory to realise the maximum sales potential for the Products.
b. Importer shall maintain a minimum stock for its customers.
c. Importer shall take such policies to preserve and enhance the goodwill and reputation of the Manufacturer and of the Manufacturer's Products.
d. Importer agrees not to sell or distribute any competing product, shall the Importer do so Importer agrees to inform the Manufacturer, in writing, of its plans to take an additional competing product line in its portfolio of products, as this would affect commercial relationships between the two parties.
e. The Importer must attend at least one free training session at the XXXXXXXXXXXX headquarters.
This training aims to inform the Importer about the Products and the technical procedures necessary to their installation.
(c) Sale lead referral. The Manufacturer will provide the Importer with all the sale lead referrals:
- Internet referral.
- Contact with our marketing agency (advertising support)

3) Dans le cadre d’une exclusivité et, uniquement dans ce contexte, pour n’importe quel territoire, le minimum mensuel d’unités commandées sera de _____kits. Ce pallier constitue la base de vente et de facturation minimum.

Dans la considération des promesses mutuelles contenues dans la présente, les parties conviennent comme suit :

- (a) les « Produits » désigneront les produits visés dans l’annexe A ci-jointe.
- (b) le « Territoire » signifiera le département de résidence du distributeur et/ou de l’exclusivité demandée.
2. OBLIGATIONS DU DISTRIBUTEUR
(b) Obligations du Distributeur. Le Distributeur accepte d'effectuer les fonctions suivantes :
-(i) Le Distributeur devra promouvoir et vendre diligemment les produits XXXXXXXXXX dans le territoire défini pour réaliser le maximum des ventes potentielles des produits.
-(ii) Le Distributeur tiendra un stock minimum pour ses clients.
- (iii) Le Distributeur prendra de telles mesures pour préserver et augmenter la bonne volonté et la réputation de l’Importateur et de ses produits.
- (iv) Le Distributeur accepte de ne pas vendre ou commercialiser de produit concurrent ou à défaut de prévenir l’ Importateur, par écrit, si le Distributeur projette de prendre un produit concurrent en supplément dans son portfolio de produits, car ceci affecterait les échanges commerciaux entres les deux parties.
- (v) Le Distributeur aura l’obligation d’effectuer au minimum 1 formation gratuite au siège de la société XXXXXXXXXXX. Celle-ci ayant pour objectif de se sensibiliser sur le produit, les procédures techniques liées au montage de celui-ci.
(c) Référence d’aides à la vente. L’ Importateur mettra à disposition du Distributeur des aides à la vente :
- Référencement internet.
- Contact direct avec notre agence de communication ( support publicitaire )

Source text - English Located in the Palace Hotel, this restaurant is definitely worth visiting. Eating here in the summer months is marvelous, not least because of the view. Palace Grill is more a place for long conversations and enjoying yourself, so if you're looking to have just a quick lunch you should try Café Palace. At Palace Grill you can enjoy some of the best grilled salmon around, as well as a wide choice of other traditionally Finnish dishes. The advantage of eating here is that it is open late.
This hotel is located right across the street from the main railway station, and it is suitable for those who do not need a large variety of services in their hotel. It is a traditional Helsinki hotel, whose café and restaurant have long been important meeting places. The rooms are well equipped with half of the rooms having baths, and the rest having showers. There are two saunas, an ironing room and a bistro. There is a lot nearby—from department stores to casinos—and nothing in the Helsinki city center is far away. The National Theatre, Ateneum and several cinemas (e.g. Bio City) are located just a couple of hundred meters away.
Translation - French Situé dans le Palace Hotel, ce restaurant vaut définitivement le détour. Manger ici pendant l'été est merveilleux, et ce n'est pas pour la vue! Le Palace Grill est plutôt un endroit pour vous amuser et partager de longues conversations, alors si vous souhaitez un déjeuner sur le pouce, essayez plutôt le Palace Café.
Au Palace Grill vous pourrez apprécier l'un des meilleurs saumon grillé alentours, ainsi qu'un large de choix de plats traditionnels Finlandais. L’avantage de ce restaurant est qu'il ferme tard.
Cet établissement est situé juste en face de la principale gare ferroviaire et conviendra à tous ceux qui n'ont pas besoin d'une grande variétés de services quand ils vont à l'hôtel.
C’est un hôtel typique d'Helsinki, dont le café et le restaurant furent longtemps deux lieux de rencontre très fréquentés.
Les chambres sont bien équipées, la moitié d'entre elles possédant une baignoire et les autres une douche. Il y a deux saunas, une buanderie et un bistro. Il y a de nombreux points d'intérêt autour de l'hôtel, des grands magasins aux casinos, et on ne peut pas dire que quoi que ce soit dans le centre d'Helsinki en soit éloigné. Le Théâtre National et plusieurs cinémas comme Bio City se situent juste à quelques centaines de mètres.
